Punktid Technologies AS announces that the member of the management board Hannes Niid has submitted an official resignation to the supervisory board, which will take effect 90 days after the publication of this announcement, on 11.03.2026.
The resignation is part of the strategic process between the company and a potential new investor. The parties have had a long-term dialogue, as a result of which an MOU (memorandum of understanding) has been signed and SPA (sales and purchase agreement) negotiations are underway.
It is important to emphasize that Hannes Niid is resigning only from the position of a member of the management board of the parent company Punktid Technologies AS. The group's subsidiaries will continue to operate with the same management boards as before, and this structure has been coordinated with the investor. The daily management, operational processes and responsibilities of the subsidiaries will remain completely unchanged.
In order to provide the parties with a clear and structured timeframe to continue the ongoing SPA negotiations and consider potential transaction-related decisions, a 90-day transition period has been established. The transition period provides the investor with a realistic time window to complete the negotiations, if the parties reach this point, and provides shareholders with a clear overview of the potential duration of the process.
During the transition period, the main role of the Board Member Hannes Niid will be to coordinate the processes related to the transaction, ensure effective communication with stakeholders and prepare for a potential management transition in a manner that supports the strategic goals of the company and the investor. The Board will continue to fulfill all its regulatory and operational obligations until the end of its mandate.
Punktid Technologies AS will continue to assess the situation and disclose additional information in accordance with regulations if relevant decisions are made or significant developments occur.
