During the negotiations, the parties failed to reach an agreement on the final terms of the transaction, including the final structure of the transaction and the division of responsibilities of the parties. It was also not possible to reach a consensus on several fundamental issues concerning the impact of the proposed transaction on the Company and its shareholders. Based on the above and considering the Management Board's obligation to act in the best interests of the Company and all shareholders, the Management Board decided to terminate the negotiations. The Company continues to actively negotiate with other potential investors and strategic partners regarding possible forms of cooperation.
