Moscow, April 2, 2026 - PJSC EL5-Energo successfully completed the reorganization process initiated on December 29, 2025, through a merger with JSC VDK-Energo and LLC LUKOIL-Ekoenergo.
On April 1, 2026, the Federal Tax Service of Russia performed the state registration of the PJSC EL5-Energo reorganization completion recording a merger of JSC VDK-Energo and LLC LUKOIL-Ekoenergo with PJSC EL5-Energo. JSC VDK-Energo and LLC LUKOIL-Ekoenergo ceased their activities. PJSC EL5-Energo is the legal successor to these organizations. Furthermore, on April 1, 2026, the registrar (LLC Registrar Garant) of PJSC EL5-Energo made an entry in the shareholder register regarding the placement of shares through conversion and exchange.
Due to the PJSC EL5-Energo reorganization, the number of power plants has increased from 5 to 25, having the total installed electrical capacity increased up to 9.5 GW and the thermal capacity - to 8.9 thousand Gcal/h. The company now includes 5 hydroelectric power plants, 3 solar power plants, 12 thermal generation facilities, and heating networks in Astrakhan, Volgograd, and Rostov regions. As a result, PJSC EL5-Energo's operations are becoming more diversified: thermal energy sales are significantly increasing, primarily in large cities in southern Russia, and renewable energy generation is on the rise as well.
The new assets acquisition and efficient management will drive the PJSC EL5-Energo business development. The merged companies have a strong business profile, and offer a wide range of prospective synergies to unleash the merged assets efficiency. Increasing the company's scale of operations will make its business more balanced and enhance its financial stability.
