Moscow, December 29, 2025 - PJSC EL5-Energo published the results of the absentee voting to adopt decisions by the General Shareholders Meeting conducted on December 26, 2025. The meeting was attended by the shareholders holding a total of 25 462 388 065 shares, or more than 72% of the company's authorized capital. The list of persons entitled to vote on decisions taken by the General Shareholders Meeting was compiled as of November 22, 2025.
The key issues on the agenda of the General Shareholders Meeting included the reorganization of PJSC EL5-Energo through a merger with JSC VDK-Energo and LLC LUKOIL-Ecoenergo, an increase in PJSC EL5-Energo authorized capital through allotment of 26.96 billion additional ordinary shares, and approval of the amended Charter of PJSC EL5-Energo. More than 99% of shareholders who participated in the vote voted positively on these issues.
The acquisition of new assets and their effective management will be a key driver for the growth of PJSC EL5-Energo's business. The acquired companies have a strong business profile and there is a wide range of potential synergies for further improving the efficiency of the consolidated assets. Increasing the range of the company's operations will make its business more balanced as well as increase its financial stability.
