Sostravel com S p A : The Board of Directors approves the draft Financial Statements as of December 31 2025

Rome, 9 March 2026 - sostravel.com S.p.A. (Euronext Growth Milan, ticker: SOS), a travel tech operator providing digital services for bookings, itineraries, and proprietary solutions that simplify the travel experience through the Sostravel and Flio apps and the platforms www.sostravel.com and www.amare.travel ("Sostravel" or the "Company"), announces that, on today's date, the Board of Directors met and unanimously approved the granting of the powers provided for to the Chief Executive Officer Carmine Colella to proceed with the establishment of a company called 'Amare Gestioni S.r.l.'.

The new company will be controlled by Sostravel with a 90% stake and is aimed at developing the management and marketing of the 'Acqua di Mare Hotel & Resort' located in Sardinia, consisting of a 139-room hotel and 54 apartments/residences with a 7-year business unit lease agreement, starting from the 2026 summer season. The remaining 10% is attributable to a company linked to the ownership of the facility. The hotel complex will be marketed under the 'AmareClub' brand, one of the Company's commercial brands, as part of a contract that Amare Gestioni will sign, granting Sostravel the exclusive marketing rights for all rooms and apartments.

The property, located on the north-western coast of the island between Castelsardo and Stintino, overlooks the Gulf of Asinara and is surrounded by Mediterranean scrub, in a natural setting of exceptional scenic beauty.

For the 2026 financial year, the occupancy rate of the facility is estimated to be between 60% and 70%, considering an opening period between May and October 2026.

The establishment and launch of the new subsidiary and the management and marketing of the facility are part of the broader strategic evolution process initiated by the Company in 2025, aimed at preserving the value generated by the expertise gained in the sale of tourist stays in Italy through the direct management of all the hotel complex's services.

The new company will be established in March 2026. Carmine Colella, Chief Executive Officer of Sostravel, stated:

"Our experience in selling holidays in Sardinia and Mare Italia has allowed us, over time, to evolve our operating model with the aim of creating value for our hotel partners. With this in mind, we are gradually reducing the "Vuoto per Pieno" (empty for full) business model, moving towards direct operations, including total management of facilities, which allow for greater value creation and more careful risk management.

The project is part of a long-term vis ion and represents the firs t step in a broader process: the objective is to be able to replicate the initiative as early as the 2027 season with a second facility of s imilar s ize in another Italian region.

This is a strategic change that requires gradual implementation, but we are convinced that concrete initiatives such as this will enable the Company to achieve positive results in the medium term."
