16 December 2025 PTBA Holds 2025 EGMS, Strengthens Corporate Governance and Company Business Strategy Jakarta, December 16, 2025 - PT Bukit Asam Tbk (PTBA) held its 2025 Extraordinary General Meeting of Shareholders (EGMS) at the Borobudur Hotel, Jakarta, on Tuesday (12/16/2025). The implementation of the EGMS is part of the Company's commitment to implementing good corporate governance and complying with applicable laws and regulations. The EGMS was held with two agendas, namely (1) Approval of Amendments to the Company's Articles of Association and (2) Delegation of Authority to the Board of Commissioners of PTBA to approve the Company's Work Plan and Budget (RKAP) for 2026 and the Company's Long-Term Plan (RJPP) for the period 2026-2030, including any amendments thereto. PTBA President Director Arsal Ismail revealed that the amendments to the Articles of Association were made to align the Company's internal provisions with the latest provisions in the State-Owned Enterprises Law. "This is also related to the request of the SOE Regulatory Agency (BP) regarding the adjustment of the Articles of Association and the delegation of authority to the Company's Board of Commissioners to approve the 2026 RKAP and the 2026-2030 RJPP, including amendments," he explained. This delegation of authority is based on Article 15G of the State-Owned Enterprises Law, which in principle stipulates that the RKAP and RJPP are determined by the General Meeting of Shareholders (GMS). However, for the sake of effective and smooth strategic decision-making within the company, the authority to approve the RKAP and RJPP in this GMS is delegated to the Board of Commissioners, subject to prior approval from the majority of Series B Shareholders. "Through this EGMS, PTBA hopes that the company's future strategic planning and decision-making processes can run more effectively and responsively, while strengthening the role of the Board of Commissioners in the Company's supervisory and strategic approval functions," explained Arsal. He added that amid global coal price pressures that are expected to remain low throughout 2025, PTBA has managed to maintain solid operational performance and profitability through increased cost efficiency and optimization of its domestic market portfolio. This is reflected in continued positive growth in production and sales volumes, as well as capital expenditure that supports the sustainability of operations and strategic logistics projects. Management projects that PTBA's operational performance will continue to improve until the end of 2025. PTBA's coal production is projected to grow by 9% from the previous year. This figure is supported by a projected growth in transportation volume of 6% and sales volume of 6% from the previous year. It is noted that as of September 30, 2025, PTBA posted a net profit of IDR 1.4 trillion and EBITDA of IDR 3.6 trillion, with an EBITDA margin of 11%.
