Dissolution Of A Dormant Wholly-Owned Subsidiary Pursuant To A Member's Voluntary Liquidation

The Board of Directors of Ying Li International Real Estate Limited (the "Company", together with its subsidiaries, the "Group") wishes to announce that its dormant wholly-owned subsidiary incorporated in British Virgin Islands, Verdant View Limited ("VVL"), was dissolved pursuant to a member's voluntary liquidation on 26 November 2025 ("Dissolution").

The Dissolution of VVL is not expected to have any material impact on the consolidated net tangible assets or consolidated earnings per share of the Group for the financial year ending 31 December 2025.

None of the Company's directors, substantial shareholders or controlling shareholder has any interest, direct or indirect, in the Dissolution (other than their shareholdings in the Company).
