Today, Nedap N.V.'s ("Nedap") Annual General Meeting of Shareholders ("AGM") granted the requested approvals on all voting items on the agenda.
The AGM cast an advisory vote in favor of the 2025 remuneration report. The 2025 financial statements were adopted and a dividend of €3.70 per ordinary share will be paid. The members of the Board of Directors and Supervisory Board were granted discharge. The Board of Directors was authorized to repurchase ordinary shares. The Board of Directors was again designated as the competent body to acquire and issue Nedap's ordinary shares, including the authorization to limit or exclude preferential rights.
The AGM was informed of the intended reappointment of Rob Schuurman as member of the Board of Directors and his intended appointment as CEO and marked the stepping down of CEO Ruben Wegman. Following the meeting, the Supervisory Board appointed Rob Schuurman as CEO for a period of four years, ending after the close of the AGM to be held in 2030. The AGM also marked the stepping down of Margot Scheltema as a member of the Supervisory Board.
