KRTL Holding Group Provides KRTL MedHealth Update on Platform Development, Physician Credentialing and Potential Standalone Positioning

· Issued by Krtl Holding Group, Inc via OTC Markets

KRTL Holding Group Inc. (OTC: KRTL) ("KRTL" or the "Company") today provided shareholders with an update on KRTL MedHealth Corp., the Company’s wholly owned healthcare subsidiary. KRTL MedHealth is in development as a healthcare operating platform centered on management-services-organization ("MSO") capabilities, a Medical Group Hub, operating technology, provider infrastructure and federal-market readiness.

This is the fifth release in KRTL’s current shareholder update series, following KRTL Holding Group, KRTL Biotech, KRTL International and the Acton-Area Historic Mineral Validation Project. As these components continue to develop, management is positioning MedHealth to evaluate potential healthcare and strategic partnerships, qualifying grant and federal-market opportunities, and whether the subsidiary may be appropriate for consideration as a potential future standalone or spin-off candidate.

KRTL Holding Group management stated: “MedHealth is continuing to move from concept development toward an operating model. We are currently working through the credentialing process for one of our own physicians within the Medical Group Hub, while continuing to develop the MSO framework, technology and federal infrastructure around the business. These steps are intended to help us evaluate potential partnerships, appropriate grant and federal opportunities, and whether MedHealth may ultimately be suitable for consideration as a standalone or spin-off candidate.”

KRTL MedHealth Within the KRTL Organization

KRTL MedHealth Corp. is a wholly owned subsidiary of KRTL Holding Group Inc. and serves as the Group’s healthcare operations and MSO-development platform. MedHealth operates alongside KRTL Biotech Inc. and KRTL International Corp. within the current KRTL corporate structure.

KRTL Holding Group Operating Structure

Building the KRTL MedHealth MSO Platform

KRTL MedHealth is in development as a structured MSO platform focused on the non-clinical administrative and operational needs of medical practices and provider organizations. The developing service model includes credentialing support, practice-launch support, revenue-cycle and central-business-office functions, workflow development, reporting and operational management.

The objective is to develop systems and procedures that can be implemented, measured, refined and, where appropriate, repeated across provider environments. Licensed healthcare professionals remain responsible for clinical care and medical decision-making.

Medical Group Hub - Moving Into a Working Proof of Concept

An important component of the MedHealth strategy is the Medical Group Hub, a medical-group program in development so participating providers may operate within a more standardized administrative and operating framework. KRTL MedHealth is currently working through the credentialing process for one of its own physicians within this model.

Management views this credentialing effort as an important step in evaluating how MedHealth’s credentialing, onboarding, workflow and administrative systems function in an actual provider setting.

The Company intends to use that experience to identify what works, refine the process and evaluate whether the framework can support additional participating providers and broader MSO engagements over time.

MedHealth OS - Creating Visibility Around the Operating Model

Supporting the MSO strategy is MedHealth OS, the company intends on developing an operational-intelligence platform. The platform is intended to provide visibility into areas such as credentialing status, revenue performance, accounts receivable, workflow and operating accountability.

Together, the MSO platform, Medical Group Hub and MedHealth OS are being developed as components of an operating model that management can evaluate, measure and refine.

Establishing Federal-Market Infrastructure

KRTL MedHealth has also established its own federal entity infrastructure through an active SAM.gov registration.

SAM.gov Status: Active Registration
UEI: HAM4ANM3KV65
CAGE/NCAGE: 23SP0

This federal identity provides infrastructure through which MedHealth can identify and evaluate qualifying healthcare-administration, provider-support, subcontracting, teaming and other government-facing opportunities aligned with its developing capabilities.

Management views the registration as another component of developing MedHealth as a distinct operating platform. As the platform develops, MedHealth is also evaluating potential healthcare, strategic and institutional partnerships and appropriate grant opportunities. SAM.gov registration does not itself constitute eligibility for a specific grant or program, a federal contract, award, funding commitment or government endorsement.

Positioning MedHealth for Potential Standalone Development

As KRTL continues developing MedHealth’s operating infrastructure, management is positioning the company to function more independently over time. Its MSO model, Medical Group Hub, operating technology, leadership structure and federal entity registration are being developed as components of a distinct healthcare operating business.

Management is positioning MedHealth so that, as the business develops, it may be evaluated as a potential future spin-off candidate or for another standalone structure if KRTL determines that such a transaction is appropriate.

No spin-off transaction has been approved, structured or completed, and there can be no assurance that one will occur. Any potential transaction would remain subject to management and board evaluation, appropriate corporate approvals, transaction structure, legal, tax, accounting, securities and other applicable considerations.

Healthcare Operations Leadership

KRTL MedHealth is led by Teresa Wheeler, Chief Executive Officer, whose experience includes healthcare revenue-cycle management, operational restructuring, credentialing, compliance-driven workflow optimization and central-business-office development.

Management believes MedHealth’s development benefits from being built around direct healthcare operating experience rather than a purely conceptual services model. The methodologies being organized into MedHealth’s framework are intended to reflect practical provider, revenue and operating requirements.

What Comes Next

KRTL MedHealth’s near-term focus includes continuing the current physician credentialing process, further developing the Medical Group Hub, refining the MSO operating framework and MedHealth OS, evaluating potential additional provider participation, and identifying commercial and federal-market opportunities that may align with the company’s developing capabilities.

Management also intends to continue developing MedHealth as a more distinct operating vehicle while evaluating potential partnerships, qualifying grant opportunities and the corporate, financial and regulatory considerations associated with any possible future standalone transaction.
