· Issued by Krtl Holding Group, Inc via OTC Markets

KRTL Holding Group Inc. (OTC: KRTL) ("KRTL" or the "Company") today provided shareholders with an update on KRTL International Corp., the Company’s wholly owned federal-facing and cross-border subsidiary, and the strategic project-development, partner-development and government-market infrastructure being built within the business.

This is the third release in KRTL’s shareholder update series, following the Holding Group and KRTL Biotech updates. KRTL International has been developed as a platform for opportunities that require international relationships, federal-market positioning, technical validation, strategic partners and coordinated project development.

KRTL Holding Group management stated: “International gives KRTL a dedicated platform for opportunities that require cross-border coordination, federal-market infrastructure, technical partners or strategic project development. Our work has been focused on building the federal identity, relationships and specialized capabilities needed to evaluate those opportunities and connect them with qualified execution partners.”

KRTL International Within the KRTL Organization

KRTL International Corp. is a wholly owned subsidiary of KRTL Holding Group Inc. and serves as the Group’s federal-facing, cross-border and strategic project-development platform. KRTL BlueSpot Inc. and KRTL Xylem Inc. operate beneath KRTL International as specialized subsidiaries supporting distinct project and commercial initiatives.

KRTL Holding Group Operating Structure

A Federal-Facing and Cross-Border Development Platform

KRTL International serves as KRTL’s federal-facing and cross-border partnering entity. Its current opportunity areas include critical minerals, environmental infrastructure, water treatment, waste-to-energy, logistics and selected cross-border initiatives involving the United States, Bolivia and other parts of South America.

The model is based on project origination, qualification, partner development and coordination rather than KRTL attempting to internally perform every technical or regulated function. Depending on the opportunity, International can work with engineering firms, environmental specialists, infrastructure developers, technical consultants, EPC organizations, mining professionals, federal prime contractors and other qualified partners.

International can also support other KRTL companies when an opportunity has a cross-border or federal-facing component. Within KRTL’s Rayel and Periko framework, for example, International serves the federal-facing and cross-border partnering role while KRTL Biotech remains responsible for life-sciences platform development and technical coordination.

Building Federal-Market Infrastructure

KRTL International has established an active SAM.gov registration and a federal capability profile designed to support its visibility with government-market participants, prime contractors and strategic partners.

SAM.gov Status: Active Registration
UEI: Y53VHEKYTN11
CAGE/NCAGE: 20K14
Purpose of Registration: All Awards

KRTL International’s current federal profile identifies NAICS 541690 - Other Scientific and Technical Consulting Services as its primary classification, supported by additional classifications covering engineering, management consulting and mining-support activities. Its capability profile also identifies PSC R425 - Engineering and Technical Services.

Management views this infrastructure as supporting the company’s ability to identify and evaluate qualifying federal contracting, subcontracting, teaming and partner opportunities. SAM.gov registration and federal identifiers establish entity validation and discoverability; they do not themselves constitute a federal contract, award, funding commitment or government endorsement.

KRTL BlueSpot - Strategic Resource and Project Development

Within KRTL’s current operating structure, KRTL International is the direct parent of KRTL BlueSpot Inc. BlueSpot provides a specialized platform for mining consulting, technology, project evaluation, technical-partner coordination, project structuring, infrastructure and logistics support, and strategic-resource development.

BlueSpot has also assembled an advisory network with experience in mining engineering, geology, exploration, geoscience technology and international operations. Management believes that specialized network strengthens International’s ability to move resource opportunities from initial access into more disciplined technical review and diligence.

Through BlueSpot, KRTL is advancing the Acton-Area Historic Mineral Validation Project in Los Angeles County, California. The current focus is on eight federal mining claims and the review of historical information, claim documentation and available geological and technical data. The work is intended to determine what additional validation, exploration or technical review may be appropriate; it is not being presented as a current mineral-resource, mineral-reserve or production determination.

A dedicated shareholder release following the KRTL MedHealth update will provide a more detailed discussion of the Acton-Area Historic Mineral Validation Project.

KRTL Xylem - Specialized Commercial Development

KRTL International is also the direct parent of KRTL Xylem Inc. Xylem provides a separate commercial vehicle for selected botanical and cross-border development initiatives where a dedicated structure can support partner development, market positioning and commercialization.

Maintaining BlueSpot and Xylem beneath International allows KRTL to separate specialized project categories while using International’s broader partner-development, cross-border and federal-facing infrastructure where appropriate.

What These Developments Mean Together

Management believes KRTL International is increasingly becoming the organization’s bridge between opportunity access and qualified execution. Its federal registration provides a government-market identity; its cross-border relationships expand partner and project access; BlueSpot adds mining and strategic-resource capability; Xylem provides a specialized commercial-development vehicle; and the broader technical and advisory network allows opportunities to be matched with qualified expertise.

Together, these components are intended to give KRTL International a repeatable process for identifying opportunities, conducting initial qualification and diligence, organizing partner relationships and determining which projects have a supportable path toward further development.

What Comes Next

KRTL International’s next phase is focused on expanding qualified federal and commercial partner relationships, continuing development of its strategic opportunity pipeline and advancing projects that move successfully through diligence. Management intends to continue building relationships with federal prime contractors, engineering and environmental firms, EPC organizations, mining and critical-mineral specialists, infrastructure developers and other partners aligned with International’s opportunity areas.

The next release in KRTL’s shareholder series will focus on KRTL MedHealth Corp., followed by a dedicated update on the Acton-Area Historic Mineral Validation Project.

KRTL Holding Group management stated: “International is being built around connecting opportunity, expertise and execution. The work ahead is to continue qualifying the opportunities we identify, align them with the right technical and strategic partners and advance the projects that demonstrate a credible path forward.”
