NOTIFICATION OF BOARD CHANGES

International Breweries Plc ("the Company") hereby informs the Nigerian Exchange Limited "NGX" and the investing public of the following changes in the Board of Directors.

The resignation of Mr. Sunday Omole, as a Non-Executive Director from the Board effective 31 July 2025 was accepted. The Board is appreciative of the immense and impactful contributions of Mr. Sunday Omole to the Company over the years and wish him well in his endeavours.

The Board also approved the appointment of Mrs. Toyin Adeniji as a Non-Executive Director of the Company effective 31 July 2025.

Mrs. Toyin Adeniji is a seasoned finance and development executive with over 28 years of leadership experience spanning banking, development finance, and private sector growth across Africa and globally. She has held senior positions at the International Finance Corporation (IFC), where she led strategic initiatives, global partnerships, and innovative financing solutions. She more recently served as Executive Director at the Bank of Industry, Nigeria, driving transformative programs for SMEs and women-led businesses.

Mrs. Adeniji has served on the boards of leading companies in the manufacturing and financial sectors; and currently serves on the board of Nigerian Aluminum Extrusion Company (NIGALEX) leading strategy and growth. She is a Fellow of the Institute of Chartered Accountants of Nigeria (FCA) and a Fellow of the Nigerian Society of Engineers (FNSE). She holds an MBA as well as the Advanced Management Program (AMP) credential from Harvard Business School.

The Board is pleased to welcome Mrs. Toyin Adeniji and trust that her inclusion will boost stakeholders' value.

Change in Company Secretariat

In accordance with the Nigerian Exchange Limited's (NGX) Rules, International Breweries Plc ("the Company") hereby

notifies the NGX and the investing public of the changes in its Company Secretary.

The Board of Directors has accepted the resignation of DCSL Corporate Services Limited as the Company Secretary. DCSL Corporate Services Limited was appointed on an interim basis, and the Board and Management of the Company express their sincere appreciation for the firm's contributions during its tenure.

The Board of Directors has approved the appointment of Temitope Oluwatosin as the Company Secretary /General Counsel effective 04 August 2025.

Temitope Oluwatosin holds a Bachelor of Laws degree from Obafemi Awolowo University, Ile-Ife, and was called to the Nigerian Bar in 2010. She is a Chartered Secretary and Governance Professional and a member of the Chartered Governance Institute (UK C Ireland). She is also a member of the Chartered Institute of Arbitrators (UK). Prior to her appointment, Temitope served as Head of Legal (Africa) at PZ Cussons, where she also held the position of Company Secretary to 5 subsidiaries, including HPZ Limited and PZ Wilmar Limited. She previously worked as Legal Counsel at Union Bank of Nigeria Plc.

Temitope brings over 14 years of professional experience spanning the financial services and FMCG sectors. Her expertise includes legal advisory, corporate governance, and risk management. She has supported strategic business operations within complex multinational environments and brings a wealth of knowledge to her role.
