Geregu Power PLC ("Geregu" or "the Company") refers to its corporate action published on January 19, 2026.
The Company hereby notifies the Nigerian Exchange Limited (NGX), its shareholders, and the investing public of a delay in holding its Annual General Meeting ("AGM"), which was previously expected to be convened on or before April 30th, 2026.
Following the release of the Company's Audited Financial Statements and the announcement of the proposed AGM date, the Company, being in its change management and transition phase, had to prioritize alignment and coordination on key governance and operational matters. This regrettably impacted the Company's ability to finalize arrangements required to convene the AGM within the initially communicated timeline.
The Company wishes to assure its shareholders and stakeholders that it remains fully committed to maintaining high standards of corporate governance, transparency, and regulatory compliance. Accordingly:
The Company is expediting all outstanding processes required to convene the AGM within the required timeline;
A new date for the AGM will be communicated to the market promptly upon conclusion of these processes and receipt of all necessary approvals; and
Dividends will be paid on the communicated date of the AGM upon the approval of the shareholders in the general meeting.
The Board and Management appreciate the continued understanding and support of shareholders and stakeholders.
