São Paulo, August 5, 2026 - ENGIE Brasil Energia (EGIE3) closed the second quarter of 2026 with net income of R$ 1.9 billion, an increase of 246% compared to the same period in 2025, mainly due to the recognition of adherence to the legal mechanism for renegotiation of the Use of Public Assets (UBP), which resulted in a non-recurring effect of R$ 1.26 billion on net income. Excluding this non-recurring effect, adjusted net income was R$ 694 million, a 23% increase compared to April to June of the previous year.

Net operating revenue reached R$ 3.5 billion, up 13.8% year-on-year. Performance was driven by short-term operations and contracts in both the free and regulated energy markets, as well as contributions from transmission projects that expanded revenues. In the period, adjusted EBITDA totaled R$ 2.2 billion, a 16.8% increase compared to the second quarter of 2025, reflecting disciplined execution of the Company's strategy, operational performance, and progress in infrastructure investments.

Investments drive transmission expansion

The Company's investments totaled R$ 329 million in the quarter. Of this amount, R$ 261 million was allocated to the construction of new projects. Highlights include the Asa Branca and Graúna transmission ventures, which received investments of R$ 111 million and R$ 104 million, respectively. The remainder was directed to generation projects and maintenance and revitalization of assets.

During the period, the Company recorded progress in project execution. The Asa Branca Power Transmission System obtained the Full Installation License, allowing the start of civil works, while the Graúna Power Transmission project advanced in environmental licensing and land release processes.

Another milestone was the signing of the concession contract for Lots 2 and 3 (Colibri Transmissora de Energia), acquired in the first Transmission Auction of 2026. These projects expand the Company's presence in strategic territories and reinforce portfolio diversification with works in Rio Grande do Norte, Ceará, Paraná, and Santa Catarina.

Expansion in the free market strengthens customer base

Expansion in the free energy market also delivered consistent results. In the second quarter, the Company increased its base of free consumers by 42.3% compared to the same period in 2025, while revenue from sales to these consumers and traders grew 12.7%, rising from R$ 994 million to R$ 1.12 billion.

Total volume traded, including free consumers, traders, and distributors, and excluding trading operations, reached 10,597 GWh, an annual growth of 14.1%.

Historic follow-on enables transfer of stake in Jirau Energia

Recently, one of the largest corporate moves in ENGIE Brasil Energia's history was completed. The Company finalized a share offering (follow-on), enabling the transfer of the 40% stake held by ENGIE Brasil Participações in Jirau Energia S.A. to ENGIE Brasil Energia.

The transaction amounted to R$ 8.36 billion, of which R$ 2.62 billion was raised in the market and R$ 5.74 billion corresponded to the contribution of Jirau's stake. The share price was set at R$ 30.50, with the issuance of approximately 274 million new common shares.
