Dear Sirs:
Pursuant to what is laid down in articles 9 and 10, third paragraph of the Securities Market Law 18045, and General Rule No.30 of the Financial Market Commission, I hereby inform you, as a material fact of Empresas CMPC S.A. ("CMPC"), that on this date, its subsidiary Softys S.A. has signed a document in English named "Closing Memorandum", through which it took control of the Brazilian company Falcon Distribuição, Armazenamento e Transporte S.A., whose acquisition was informed by a material fact dated September 30, 2024. The indicated takeover was given in the terms and conditions described in the indicated communication.
With this operation, Softys acquired an industrial plant in the Municipality of Senador Canedo, State of Goiás, which consists of 16 production lines dedicated to the manufacturing of baby and adult diapers, sold under brands such as Cremer, PomPom, and Bigfral, among others. It is estimated that this acquisition will have a positive impact on CMPC's results, although such effects cannot be quantified at this time.
