Dear Sirs:
Pursuant to what is laid down in articles 9 and 10, second paragraph of the Securities Market Law, and General Rule No.30 of the Financial Market Commission, I hereby inform you, as a material fact of Empresas CMPC S.A. ("CMPC"), that on this date, its subsidiary Softys S.A. has entered into an agreement with Ontex Hygienic Spain S.L., a subsidiary of the Belgian company Ontex Group, to acquire all shares of the Brazilian company Falcon Distribuição Armazenamento e Transporte S.A., hereinafter referred to as "Falcon" and the "Transaction", respectively.
Falcon is a Brazilian company engaged in the development, manufacturing, and distribution of baby diapers and adult incontinence products in the country.
Falcon operates an industrial plant in the Municipality of Senador Canedo, State of Goiás, which consists of 16 production lines dedicated to the manufacturing of baby and adult diapers, sold under brands such as Cremer, PomPom, and Bigfral, among others.
The initial purchase price agreed upon for Falcon's shares is R$ 670.9 million, equivalent to approximately US$ 123 million as of today, to be paid on the closing date of the Transaction, subject to the customary price adjustments in transactions of this nature.

The completion of the Transaction is subject to a series of conditions precedent, including approval by the Brazilian Antitrust Authority. Based on the conditions agreed upon in the contract, the transaction is expected to close within the next six months.
CMPC's financial position allows it to secure the necessary funds to complete the payment of the specified amount. It is estimated that this acquisition will have a positive impact on CMPC's results, although such effects cannot be quantified at this time.
