By the initiative and decision of the Board ofAB East West Agro, duly incorporated and operating under the laws of the Republic of Lithuania, legal entity code 300588407, with its registered office at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania, data on the company being collected and stored in the Register of Legal Entities of the Republic of Lithuania (hereinafter -the Company), an Extraordinary General Meeting of Shareholders of the Company (hereinafter -the Meeting) is hereby convened.
Date and time of the Meeting: 19 June 2026 at 11:00 a.m.
Place of the Meeting: the registered office of the Company at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania.
Start of shareholder registration: 19 June 2026 at 10:30 a.m.
End of shareholder registration: 19 June 2026 at 10:55 a.m.
Agenda of the Meeting:
- Organisational matters of the meeting (election of the chairman and secretary of the meeting);
- Election of the members of the Board of the Company for a new 4 (four)-year term of office.
Nominations for candidates to the Board of the Company may be submitted by email to info@ewa.lt until 29 May 2026, 5:00 p.m.
The list of candidates to the Board of the Company, information about the candidates, draft resolutions, and the general ballot paper will be published additionally in accordance with the procedure established by legal acts.
Initiator of the convocation of the Meeting: the Board of the Company.
Record date of the Meeting: 12 June 2026 (the fifth business day prior to the Meeting). Only those persons who are shareholders of the Company at the end of the record date of the Meeting shall have the right to attend and vote at the Meeting.
A person attending the Meeting and having the right to vote must present a document confirming their identity. A person who is not a shareholder must, in addition to such document, provide a document confirming their right to vote at the Meeting.
The Company will not provide the possibility to attend and vote at the Meeting through electronic means of communication.
Shareholders whose shares carry not less than 1/20 of all votes may propose additions to the agenda of the Meeting by submitting, together with each proposed additional item, a draft resolution of the Meeting or, where no resolution is required, an explanation regarding each proposed item on the agenda of the Meeting. A proposal to supplement the agenda must be submitted in writing by sending it via registered mail to the Company at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania, or by email to info@ewa.lt. The agenda shall be supplemented if the proposal is received no later than 14 days prior to the Meeting.
Shareholders whose shares carry not less than 1/20 of all votes may propose new draft resolutions on matters that are included or will be included in the agenda of the Meeting. The proposed draft resolutions must be submitted in writing by sending them via registered mail to the Company at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania, or by email to info@ewa.lt. Shareholders shall have the right to propose new draft resolutions regarding the items on the agenda of the Meeting in writing at any time prior to or during the Meeting.
Shareholders shall have the right to submit questions to the Company in advance relating to the agenda of the Meeting. Questions may be submitted by email to info@ewa.lt or by registered mail sent to the Company at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania. The Company undertakes to respond provided that the questions are received by the Company no later than 3 business days prior to the Meeting. General responses will be published on the Company's website at www.ewa.lt in the "For Investors" section. The Company shall not provide an individual response to a shareholder's question if the relevant information is published on the Company's website.
Each shareholder shall have the right, in accordance with the procedure established by law, to authorize another person to attend and vote on their behalf at the Meeting. The authorized representative must present a power of attorney certified in accordance with the procedure established by law. A power of attorney issued by a natural person must be notarized. A power of attorney issued abroad must be translated into the Lithuanian language and legalized in accordance with the procedure established by law. A shareholder having the right to attend and vote at the Meeting shall also have the right to authorize, by means of electronic communications, a natural or legal person to attend and vote on their behalf at the Meeting. Such authorization by a shareholder shall not require notarization. A power of attorney issued by means of electronic communications must be signed by the shareholder using an electronic signature created by secure signature-creation software and certified by a qualified certificate valid in the Republic of Lithuania. The shareholder must notify the Company of the authorization granted by means of electronic communications and send the power of attorney by email to info@ewa.lt no later than the last business day prior to the date of the Meeting. The authorized representative at the Meeting shall have the same rights as the shareholder represented by them, unless the power of attorney issued to the representative or the applicable laws provide for narrower rights of the representative. The Company has not approved a specific form of power of attorney for representation of a shareholder at the Meeting.
A shareholder or their authorized representative shall have the right to vote in writing in advance by completing a general ballot paper. The general ballot paper is available on the Company's website at www.ewa.lt in the "For Investors" section. If the completed general ballot paper is signed by a person who is not a shareholder, a document confirming the right to vote must be attached to the completed general ballot paper. A duly completed general ballot paper must be sent by registered mail (with a copy sent by email to info@ewa.lt) or delivered to the Company at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania, no later than the date of the Meeting.
The total number of the Company's shares is equal to 1,000,000. ISIN code of the Company's shares isLT0000132060.
Pursuant to Article 54(7) of the Law on Companies of the Republic of Lithuania, the Company, having acquired its own shares, may not exercise the property and non-property rights granted by such shares. As of the date of this notice, the Company holds 3,557 ordinary registered shares of the Company under the right of ownership.
Draft resolutions on the items of the agenda of the Meeting, documents, and all other information that must be submitted to the Meeting will be published on the Company's website atwww.ewa.lt in the "For Investors" section no later than 10 days prior to the Meeting. Shareholders will also be able to review such information at the Company's registered office at Sausinės g. 1, Sausinės village, Kaunas District Municipality, Lithuania, on business days from 9:00 a.m. to 4:00 p.m. Information is also available by telephone at +370 37 262318.
