Valartis Group --Pre-announcement of the public tender offer by Valartis AG for all publicly held bearer shares of ENR Russia Invest AG
Valartis AG, a subsidiary of Valartis Group AG, today published the pre-announcement of the public tender offer for all publicly held bearer shares of ENR Russia Invest AG, Geneva ("ENR"). The offer price is CHF 5.60 net in cash per ENR share and implies a premium of 0 .9% to the volume- weighted average price of all on-exchange transactions in ENR executed on the SIX Swiss Exchange Ltd ("SIX") during the 60 trading days prior to the publication of today's pre- announcement (being CHF 5.55).
The pre-announcement of the public tender offer contains the main terms and conditions of the public tender offer. It can be found at https:/ / valartisgroup.ch/ enr-purchase/ .The offer prospectus is expected to be published in October 20 24. The public tender offer is expected to be completed in December 20 24. Subsequently, ENR is to be delisted from the SIX.
