TraWell Co: Correction to the announcement made on 6 may 2026 regarding the reverse stock split of outstanding shares.

Following further analysis of the Company's share consolidation transaction (reference is made to the details set out in the previous press release dated 6 May 2026), it is specified that, with reference to the "Trawell Co 2021-2026 Warrants", the transaction will not result in a reverse split of the warrants themselves. However, as a consequence of the reverse stock split of the Issuer's shares, the exercise ratio of the "Trawell Co 2021-2026 Warrants" and the exercise price will be adjusted in accordance with Article 5 of the "Trawell Co 2021-2026 Warrants" Regulations (ISIN code IT0005446726).

Warrant holders will be entitled to subscribe for the Underlying Shares at a ratio of 1 Underlying Share for every 5 Warrants held (therefore, the maximum number of Underlying Shares that may be issued will consequently be adjusted), at an exercise price per Underlying Share equal to Euro 40.00 (previously: 1 Underlying Share for every 1 Warrant held, at an exercise price per Share equal to Euro 8.00).
