Tinexta S p A : Comunicazione diffusa da Tinexta S.p.A. per conto e su richiesta di Zinc Bidco S.p.A. e Tecno Holding S.p.A

15 June 2026 - With reference to the essential information prepared pursuant to Articles 122 of Legislative Decree No. 58 of February 24, 1998 and 130 of the Regulation adopted by CONSOB Resolution No. 11971 of May 14, 1999, relating to the share purchase agreement and the shareholders' agreement containing provisions (the "Shareholders' Provisions") concerning Tinexta S.p.A. ("Tinexta"), entered into on 4 August 2025, by Tecno Holding S.p.A. ("TH") and Zinc TopCo S.p.A. ("TopCo") and, following designation by TopCo, Zinc BidCo S.p.A. ("BidCo") (the "Essential Information"), it is hereby announced that, as of today, an updated version of the Essential Information has been published in order to reflect the changes and adjustments made by TH, TopCo, and BidCo to the Shareholders' Provisions in order to enable BidCo, in concert with TH, to launch a voluntary public tender offer on the shares of Tinexta, pursuant to Article 102 of Legislative Decree No. 58 of February 24, 1998.

The Essential Information is published on the website of Tinexta S.p.A. (Section "Governance / Shareholders' Agreements"), as well as on the authorized storage mechanism eMarket, together with a copy of the extract relating to the Shareholders' Provisions, which will also be published on 15 June 2026 in the daily newspaper "Italia Oggi".
