Tinexta S p A : Comunicazione diffusa da Tinexta S.p.A. per conto e su richiesta di Zinc Bidco S.p.A. e Tecno Holding S.p.A.

Rome, 20 April 2026 - With reference to the essential information prepared pursuant to Articles 122 of Legislative Decree No. 58 of 24 February 1998 (the "CFA") and 130 of the Regulation adopted by CONSOB Resolution No. 11971 of 14 May 1999 (the "Issuers' Regulation"), concerning the share purchase agreement and the shareholders' agreement containing provisions relating to Tinexta S.p.A. ("Tinexta") entered into by Tecno Holding S.p.A. and Zinc TopCo S.p.A. on 4 August 2025 (the "Essential Information"), it is hereby announced that an updated version of the Essential Information has been published today, pursuant to Article 131 of the Issuers' Regulation, in order to reflect the results of the mandatory totalitarian tender offer launched by Zinc BidCo S.p.A. ("BidCo") on the shares of Tinexta pursuant to Articles 102, 106, paragraph 1, and 109 of the CFA (the "Offer"), the subsequent reopening of the tender period pursuant to Article 40-bis, paragraph 1, letter b), no. 1 of the Issuers' Regulation, as well as certain purchases of shares carried out by BidCo outside the Offer.
