NOTICE TO THE MARKET
São Paulo, November 27, 2025 - SYN prop e tech S.A. ("Company"), a company listed on the Novo Mercado of B3 S.A. - Bolsa, Brasil, Balcão (Code: SYNE3), is in addition to the Notice to the Market released on July 8, 2025, hereby inform its shareholders and the market in general that the sale, jointly with XP MALLS FUNDO DE INVESTIMENTO IMOBILIÁRIO - FII, of the entire equity interest in SYN LARANJEIRA EMPREENDIMENTOS IMOBILIÁRIOS LTDA. (CNPJ No. 18.180.376/0001- 90), which
owns 35.87% of Shopping D ("Transaction"), has been concluded on this date.
As a result of the closing of the Transaction, the Company received, on this date, the net amount of R$ 8,924,300.00, corresponding to its stake.
Finally, the Company reiterates its commitment to keep shareholders and the market in general informed about any other relevant matter.
