Notice to the Market - Completion of the 4th closing of the Brasílio Machado transaction

São Paulo, July 25, 2025 - SYN prop e tech S.A. ("Company"), a company listed on the Novo Mercado of B3 S.A. - Bolsa, Brasil, Balcão (Code: SYNE3), is in addition to the Notices to the Market released on April 4, 2024, October 31, 2024, January 24, 2025, March 25, 2025and May 23, 2025 hereby inform its shareholders and the market in general that the fourth closing of the sale operating by the Company of its interest in the project called "Brasilio Machado", located at Avenida Dr. Cardoso de Mello, n.º 1.855, Vila Olímpia, São Paulo/SP - CEP 04548-005 to BRC RENDA CORPORATIVA

REAL ESTATE INVESTMENT FUND, registered with the CNPJ under No. 30.567.216/0001-02 ("FII-BRC"). Due to the fourth closing, the Company received, on this date, the amount of R$4.720.383,20.

As informed in the Notice to the Market of October 31, 2024, the operation was structured in 6 tranches, and the Company will receive the remaining two installments, in alternate months from this date, one installment in the amount of R$ 4,726,028.95 and the last installment in the amount of R$ 4,143,826.30. The next closures will be communicated in due course.

Finally, the Company reiterates its commitment to keep shareholders and the market in general informed about any other relevant matter.
