The Company's Management believes that these two gentlemen will help to move Solid forward to its ultimate success. Mr. Rieche has a BA in Economics and has 20 years experience in International project management, logistics planning and corporate finance having worked with resource based industries and financial institutions world wide. He has helped to develop and finance mining projects in both North America and South America along with energy projects, oil and gas projects, fisheries projects and forestry projects in many different areas in the world. Mr. Rieche has worked with NGO's and was a lead consultant in preparing a report submitted to the United Nations which examined options for legitimizing the mining of Coltan and Tantalum in National Parks and Wildlife refuges in the Congo. Mr. Rieche is a co-founder of and partner in SKU Media Corp., a public relations and marketing company. Mr. Barbiero has been a successful leader in the business community for over 20 years. After successfully completing an undergraduate degree in commerce from Simon Fraser University, Mr. Barbiero applied his financial background in a five year career as an accountant for a leading forest company in British Columbia (MacMilaan Bloedel Ltd.) Recognizing he could make significant positive impacts through a sales and marketing career, Mr. Barbiero applied his natural relationship skills, fluency in four languages (including English, French, Italian and Greek) and affinity for sales into a career that has now spanned 15 successful years in the Environmental industry, at Clean Harbors Canada, a company that provides a variety of environmental services to large, industrial clients. Mr. Barbiero quickly rose to his current position as Director of Sales. Previous to this position, he was Corporate Accounts Director, working for the largest Hazardous Waste Company on the continent. Mr. Barbiero continues to manage and network with senior managers across North America on a daily basis. His successes and accomplishments include setting up the first Corporate Accounts Program across Canada where he managed and grew the business year over year at an unheard of 25% rate on a sales basis. Commerce in North America is very relationship driven. Over the years, Mr. Barbiero has forged numerous relationships across a variety of industries including the mining sector. Mr. Barbiero's network of business associates along with his current position as a senior manager at North America's largest hazardous waste company would be an asset when he serves as a Director on Solid's Board. Solid also announces that it has approved the granting of stock options to the new board members to acquire an aggregate of 450,000 common shares of Solid (approximately 3.2% of the total issued and outstanding shares of Solid) at $1.20 per share for 24 months, subject to the approval of the regulatory authorities. The company also reports receiving regulatory approval of its previously announced private placement. The private placement consists of eight hundred and thirty-five thousand units consisting of 835,000 common shares at a price of $1.00 per share and one warrant to acquire an additional common share at a price $1.50 per share for a period of 2 years from the date of issue. The units have a hold period of 4 months from the date of issue. In connection with this private placement, Solid has paid a 6% commission on a portion of the funds raised. The common shares of Solid acquired pursuant to this private placement are subject to a four month hold period which will expire on August 4, 2006.
