SNGN Romgaz : Report on certain transactions concluded with other public enterprises

To: THE GENERAL MEETING OF SHAREHOLDERS

Pursuant to Article 52 paragraph (1) of Government Emergency Ordinance No. 109/2011 "The Board of Directors […] convenes the general meeting of shareholders in order to approve any transaction, if its value, individually or in a series of concluded transactions, exceeds 10% of the value of net assets […] or exceeds 10% of the revenue … with the controlling shareholders or with a company controlled by such shareholders".

Moreover, pursuant to Article 52 paragraph (3) of Government Emergency Ordinance No. 109/2011 "The Board of Directors […] informs the shareholders, during the first General Meeting of Shareholders following the legal act, on any transaction concluded by the public enterprise with:

1. persons provided in paragraphs (1) and (2) and the value of the transaction is below the level established in paragraph (1);

2. another public enterprise or with the public supervisory authority, if the transaction has a value, individually or in a series of transactions, of at least the equivalent in RON of EUR 100,000".

   According to Article 2, point 2 of GEO No.109/2011, "public enterprise has the following meanings:

   1. autonomous public companies established by the State or by a territorial administrative unit;

   2. national companies and corporations, companies in which the State or an administrative-territorial unit is the sole or majority shareholder or in which it has control;

   3. companies in which one or more of the public enterprises referred to in (a) and (b) has a majority or controlling interest."

Accordingly, we hereby inform the General Meeting of Shareholders that for July 2025 - March 2026, Romgaz concluded the following transactions with:

1. TSO (SNTGN Transgaz SA Mediaș)

   Transmission capacity booking in entry/exit points to/from the National Transmission System (NTS) is made annually, quarterly and monthly, taking into account the delivery profile to end clients/consumers on one hand and costs optimisation for Romgaz on the other hand.

   Therefore, in line with the calendar for transmission capacity booking, for 2024-2025 and 2025 - 2026 gas years, the Network User (NU) Romgaz booked annual transmission capacity, calculated to achieve the lowest cost (optimise the cost per portfolio). Additionally, to the terms set by law, NU Romgaz books quarterly and monthly transmission capacity.

   Based on the daily gas demand (as a consequence of the changes in client portfolio) and with the purpose of optimizing capacity booking costs related to transmission services, Romgaz took over/transferred transmission capacity from/to other NTS network users. Subsequently, pursuant to NTS Network Code, approved by Order No. 16/2013 of ANRE (National Regulatory Authority for Energy) President, Romgaz concluded with SNTGN Transgaz SA the following addenda to:

2. SNGN Romgaz SA - Filiala de Înmagazinare Gaze Naturale Depogaz Ploiești SRL

   Following approval of Report No.28074/July 17, 2025, Romgaz concluded with Depogaz, Addendum No.1 to Contract No. 1825/2025 for natural gas underground storage. This provides for enhancing storage capacity by 296,015.175 MWh, reaching a booked capacity of 300,000 MWh. Estimated contract value is RON 6,798,000 (VAT exclusive).

   Romgaz concluded with Depogaz the following addenda, after setting the gas withdrawal program:

   • Addendum No.2/2025 to Contract No. 1825/2025 for natural gas underground storage, providing for withdrawal of 3,984.825 MWh from UGS;

   • Addendum No. 1/2025 to Contract No. 1861/2025 for natural gas underground storage, providing for withdrawal of 764,615.186007 MWh from UGS.

Effects of concluding transactions

Performing the above-mentioned gas transmission contracts will:

• Secure required conditions to deliver gas and, namely, to inject/withdraw gas into/from UGSs;

• Optimise related transmission service costs.

By concluding underground gas storage contracts, Romgaz secures access to underground gas storages as well as the necessary gas inventory.
