With reference to above mentioned subject, We (Sitara Energy Limited; here-in-after referred as 'the Company') are enclosing herewith our application u/s 132 of the Companies Act, 2017 ('the Act') for extension for holding Annual General Needing (AGM) of the Company for a period of 30 days, for submission of Annual Accounts for the year ended 3une 30, 2025 u/s 233 of the Act.
Following documents are also attached with application:
Original paid Challan No.M-2025-1930441 of Rs.15,000/- being the prescribed fee for extension in the prescribed period for holding AGM; and
Required documents under Regulation 27 of Companies General Regulations, 2018
In view thereto, your good self is requested to allow extension for a period of 30 days for holding AGM of the Company as well as submission of Annual Accounts for the year ended June 30, 2025 till November 28, 2025.

(i) | The Registration Number, Name & Address of the Company | CUIN No. 0025634 Sitara Energy Limited, 601-602, Mumtaz Hassan Road, Off. I.I. Chundrigar Road, Karachi. |
(ii) | Date of last AGI'd held for financial year end. | The last AGN of the company was held on October 28, 2024 for the financial year ended June 30, 2024. |
(iii) | The date up to which extension is required for AGPI | AGN extension till November 28, 2025 |
(i ) | The date up to which AGM is required to be held for the purpose of the said sections and the date up to which the financial statements are required to be laid therein; | As per section 132 of the Companies Act, 2017 the company is required to hold its AGM up to October 28, 2025 and place its Annual Accounts for the year ended June 30, 2025 before the Shareholders. |
(v) | Reason for not being able to hold AGM on time | Due to a severe financial crisis. There is a severe shortage of staff due to partial operation of the company, which led to delay in audit and necessary adjustments. |
(vi) | When the delay is attributed to non-completion of books of accounts or non-finalization of audit, the exact state of books of accounts with the reason for the non-finalization of the audit, as the case may be, such information being accompanied by a certificate of the Company" s Auditor as to state the reason for delay in the completion of the audit and the minimum time required for the purpose. | Due to the aforementioned circumstances, the Company encountered difficulties in concluding its financial accounts promptly and proceeding with the audit. Consequently, there has been a delay in the completion of the audit process. Letter from the external auditors of the company in this regard is attached with this application. Minimum time required for this purpose is 30 days. |
