2025 Ringkasan Eksekutif Laporan Penilaian GCG 2025

This report aims to deliver the assessment results on the Corporate Governance (CG) practices of PT Jasa Marga Tbk (JSMR) based on ASEAN CG Scorecard (ACGS). The assessment was based on public information, especially from the Annual Report 2024 and Company's website.

The assessment result shows that the overall weighted score obtained by SMBC is 103.46

point. The details of the weighted score for each Scorecard components are as follows:

1. Principle A - Rights and Equitable Treatment of Shareholders: 16.00.
2. Principle B - Sustainability and Resilience: 13.64.
3. Principle C - Disclosure and Transparency: 25.00.
4. Principle D - Responsibilities of the Board: 36.83.

In the bonus and penalty assessment component, PT Jasa Marga (Persero) achieved a bonus of 14 points and a penalty of -2 (minus two) points for its corporate governance practices implemented during the 2024 fiscal year.

Based on the final score of 103.46 points, the compliance level performance of PT Jasa Marga Tbk remains in the predicate of "Leadership in Corporate Governance" or Level 5 (more than 100), meaning that the GCG practices carried out by the Company exceed those required by Level 1 (ACGS Structure). Although still in the same predicate category as the previous period, there has been a decline in corporate governance performance as reflected in the decline in the company's CG Score achievement, especially in the Level 1 assessment, namely in the Principles A and B sections.

Referring to the assessment results in ACGS 2025 as a comparison, the total score obtained by the Company is still far above the average score for issuers or public companies (Tbk) included in the Big Cap category (100 companies with the largest market capitalization on the stock exchange) which reached 82.60.

In addition to the assessment results on the level of compliance with CG practices based on the ASEAN CG Scorecard standards, this report also provides recommendations as a reference for making improvements to the implementation of the company's GCG practices in the future.
