Providence Film Group, A Valiant Eagle Inc. (OTCID: PSRU) Subsidiary, Advances Mini-Major Strategy With Expansion Into Film and Television Distribution

Company to build independent distribution capability across theatrical, digital, broadcast and international markets, supported by a growing content library and expanding production slate

— Providence Film Group (“Providence”), a subsidiary of Valiant Eagle, Inc. (OTCID:PSRU), today announced that it is expanding into independent film and television distribution, developing the infrastructure, personnel and partnerships intended to enable the Company to distribute feature films, television programming, documentaries and other entertainment content in-house  instead of routinely licensing those rights to third-party distributors.

The expansion represents a strategic evolution of Providence's existing business rather than a change in direction. The Company's growing production slate, completed programming, expanding film library, active acquisition strategy and established relationships with independent filmmakers have made distribution what management views as the next logical vertical in the Company's development.

Owning More of the Entertainment Value Chain

Providence intends to participate across the full lifecycle of the content it creates and controls — development, financing, production, marketing, distribution, licensing and ancillary monetization.

Management believes that participating across these stages can give Providence greater control over release strategies, marketing execution, territory and window decisions, rights management and the long-term value of its library, while allowing the Company to retain a greater portion of the economics associated with successful content.

An Expanding Library as the Foundation

Providence's distribution strategy is built on content the Company already owns or controls, together with titles it is working to acquire. Providence is currently in active negotiations regarding the acquisition of additional completed titles that, if consummated, could materially expand the Company's catalog. 

Providence also holds completed programming available for immediate exploitation, including Fathers of the Sport, Laugh at LA and Talk Dental to Me, along with additional projects at various stages of development and production. The Company is building its distribution operation against existing inventory rather than beginning from an empty slate.

Multiple Revenue Channels From the Same Asset

Distribution rights create the potential for a single title to be monetized across many channels over an extended period. Potential channels that Providence intends to pursue for owned and controlled content include theatrical exhibition; transactional video on demand; subscription streaming; ad-supported and FAST platforms; broadcast and cable licensing; international territory licensing; airline and hospitality licensing; educational and non-theatrical markets; digital and YouTube channels; and ancillary rights including remake rights, television adaptation rights, foreign-language versions and merchandising.

Management further believes that library titles which have been under-exploited — particularly older catalog product — can be repositioned through restoration, repackaging, new key art and trailers, localization, digital distribution, themed and FAST channel placement, and the development of underlying intellectual property. Providence does not intend simply to warehouse acquired catalogs; it intends to actively rework and reintroduce it.

Distribution for Third-Party Filmmakers

Beyond exploiting its own content, Providence ultimately intends to offer distribution opportunities to qualified independent producers and filmmakers.

Management believes independent filmmakers remain underserved by the current distribution landscape, and that Providence can position itself as a filmmaker-friendly alternative offering greater transparency, meaningful marketing support, cross-promotion across the Company's media ecosystem, access to audience data and multiple paths to monetization.

Marketing Begins Before Release — and Often Before Production

A defining element of Providence's approach is the early integration of marketing. The Company intends to develop audiences, brands, social communities and ancillary opportunities around its projects well in advance of a distribution window, rather than initiating marketing activity only as a release approaches.

Providence's planned approach to its completed horror feature The Knock is illustrative of the model: a controlled release strategy contemplating limited theatrical exhibition, followed by digital and streaming exploitation, with the potential for broader theatrical expansion based on performance.

International Expansion and a Technology-Forward Approach

International exploitation is intended to be a significant component of the strategy, including localization, dubbing and subtitling, territory-by-territory licensing and placement on international digital platforms. Management believes catalog titles that were poorly exploited outside North America represent a particular opportunity.

Providence also intends to operate as a modern distribution company rather than a traditional sales agent, applying audience analytics, digital advertising, social distribution, creator communities and direct marketing — supported by the broader media ecosystem of Valiant Eagle — to inform acquisition, positioning and release decisions.

Building Scale Through Partnership and Acquisition

Providence does not intend to build every component of its distribution operation internally. The Company is evaluating strategic relationships, distribution infrastructure, sales representation, platform relationships, catalog acquisitions and potentially acquiring complementary companies or assets as means of accelerating the buildout.

Providence is developing access to strategic and institutional capital, together with its planned film financing activities, is intended to support both content acquisition and distribution expansion.

In conclusion, management believes that owning or controlling distribution rights can allow Providence to retain a greater portion of the economics associated with successful content while creating additional recurring revenue opportunities from its growing library.
