Notice of Special Shareholder Meeting

September 8, 2014. 

There is a dispute over who is the rightful officers and directors of the Company. Even though a majority of the Shareholders voted to replace Randy Nichols from the Board of Directors and replace him with John Higginbotham, Loretta Higgins and Carlos Ryerson. The Shareholder Consent was taken based upon the Company’s By-Laws whereas it is Mr. Nichols position that it must be in the Articles of Incorporation.

In order to resolve this controversy 10% of the shareholders have demanded a Special Shareholders Meeting which will be held:

Place, Day and Hour: Atlanta Airport Marriott Gateway Hotel at 2020 Convention Center Concourse in Atlanta Georgia September 23, 2014 at 2:30 pm,

Purpose: The purpose is to vote on the Shareholder proposal to increase the Board of Directors to three members and remove Randy Nichols from the Board of Directors and replace him with John Higginbotham, Loretta Higgins and Carlos Ryerson.

To ensure that this notice complies with the law it is being called by 10% of the Shareholders, who designate Loretta Higgins to issue the call for the meeting.

Section 1.4 Notice Written Notice has been provided by mailing this Notice to all shareholders of record through the US Mail on September 8, 2014 which is more than the ten days required by Section 1.4.
