Resolutions passed in the EOGM of "MAHMOOD TEXTILE MILLS LIMITED" held on 21•' April 2026
Following resolutions have been passed in the EOGM: -
ORDINARY BUSINESS
Resolved that minutes of the Extra Ordinary General Meeting of the Company held on 31" January 2026 be and is hereby confirmed and adopfed.
SPECIAL BUSINESS
Agenda Item No. 1. Resolved that the word "The Companies Ordinance,1984" is replaced with the word "The Companies Act,20J 7" where ever if is appearing in the memorandum of association.
Agenda Item No. 2. Resolved that clause V of the memorandum of association is amended empowering the company to issue preference shares and issue shares of different classes and kinds as permissible under "The Companies Act,20J 7".
Agenda Item No. 3. Resolved that new set of Articles of Association is adopted to bring these in conformity with the provisions of "The Companies Act, 20a Z" including issue of preference shares and ISSUE shares of different classes and kinds as permissible under "The Companies Act,20J Z".
Agenda Item No 4. Resolved that the Chairman in consultation of the HR Committee is authorized to determine and fix the remuneration of directors.
Further Resolved thaf the CEO, CFO and Company Secretary be are hereby authorized individually to do all the necessary acts, things and deeds required to be done to complete fhe legal formalities.
