The following resolution was passed by members of the Company in the Extra Ordinary General Meeting (EOGM) held on 30th June, 2025.

"Resolved that the Scheme of Arrangement for, inter alia, compromise, arrangement and reconstruction (the "Scheme") between Mahmooa Textile Mils Limited and its members and M/s AG Apparel Limited and its members, considered by this meeting and initiated by the chairDersons of this meeting for DurDoses of identification, be and is hereby aporoved, adopted ana agreed, subject to any moaification(s) or conditions as may be required/imposed by the Honorable Lahore High Court, Multan Bench.
Resolved Further thot each of the Chief Executive Officer, any of the Directors of the Company, Chief Financial Officer and Company Secretary of the Company, singly and severally, be ana are hereby authorizes to take any steps/ measures for the implementation and completion of the Scheme."
