MATERIAL FACT Log-In - Logística Intermodal S.A. ("Log-In" or "Company" - B3 LOGN3), in compliance with the provisions of § 4 of Article 157 of Law 6.404/1976, and Resolution No. 44/21 of the Brazilian Securities and Exchange Commission (CVM), hereby informs its shareholders and the market in general that:Mr. Marcio Arany da Cruz Martins informed, on December 4, 2025, the Board of Directors that he will remain in the position of President of Log-In until December 31, 2025. The Board of Directors, in a meeting held on the same date, expressed its gratitude for the relevant services rendered by Mr. Marcio Arany over the past 11 (eleven) years, with the last 5 (five) years leading the Company, a period marked by important achievements and the consolidation of the growth strategy.
In the words of the Chairman of the Board of Directors, Mr. Julian Thomas:
"Mr. Marcio Arany's management leaves as a legacy the sustainable expansion of the Company's business, the strengthening of corporate governance, and the appreciation of human capital, pillars that will continue to guide our decisions."
At the same meeting, the Board of Directors elected Mr. Marcus Voloch to occupy the position of President of the Company, with a term starting January 1, 2026, until the Ordinary General Meeting to be held in 2027.
Mr. Marcus Voloch currently holds the position of Shipping Vice President at Log-In and has more than 27 (twenty-seven) years of experience in the maritime transport, international logistics, and cabotage sector. He has held various leadership positions at the Hamburg Süd Group in South America and Hamburg, before taking over Aliança Navegação e Logística, where he served as Executive Director. Mr. Marcus Voloch studied engineering at the Federal University of Rio de Janeiro and holds a degree in Business Administration from Universidade Paulista.
The Board of Directors expresses full confidence in Mr. Marcus Voloch's ability to continue the Company's business plan and lead its sustainable growth strategy.
