Notice Concerning Transition to a Company with Audit & Supervisory Committee

Kajima Corporation (the "Company") hereby announces that at the Board of Directors' Meeting held today, the Company resolved that it would transition from a "Company with an Audit & Supervisory Board" to a "Company with an Audit & Supervisory Committee," following approval at the 129th Ordinary Stockholders' Meeting of the Company to be held in late June 2026.

1. Purpose of transition

   With the basic policy of realizing fair and transparent corporate activities, the Company has continued to strengthen corporate governance.

   The Company has decided to transition to a Company with an Audit & Supervisory Committee in order to further enhance corporate governance and increase corporate value by speeding up decision making and business execution through delegation of authority, improving discussions on management policy and strategies at the meetings of the Board of Directors, strengthening the supervisory function of the Board of Directors, and so forth.

2. Transition schedule

   The transition to a Company with an Audit & Supervisory Committee is to be implemented following approval for necessary amendments to the Articles of Incorporation at the 129th Ordinary Stockholders' Meeting of the Company to be held in late June 2026.

3. Other matters

For executive appointment associated with the transition to a Company with Audit & Supervisory Committee, please refer to the "Announcement of Changes in Representative Directors, Directors and Audit & Supervisory Board Members" dated today. The details of amendments to the Articles of Incorporation associated with the transition will be disclosed as soon as they are determined.
