India’s CCI clears ITC purchase of Aditya Birla paper unit

India’s competition regulator has cleared a deal that strengthens consolidation trends in the country’s paper and packaging industry as consumer demand, export opportunities and sustainability requirements reshape capacity decisions across manufacturers.

The Competition Commission of India(CCI) approved ITC Limited (NSE:ITC)’s acquisition of the paper and pulp manufacturing business of Aditya Birla Real Estate Limited (NSE:ABREL).

The approval removes a key regulatory hurdle for ITC as it seeks to expand scale in a segment linked closely to fast moving consumer goods, e-commerce logistics and agricultural supply chains.

The transaction involves the transfer of the paper and pulp operations as a going concern under a business transfer agreement between the two companies, according to a press release by CCI.

ITC is a diversified listed group with interests spanning fast moving consumer goods, paperboards and packaging, agribusiness and information technology services.

The acquisition adds to its existing paper portfolio and is expected to improve integration with downstream packaging demand, supporting margin stability amid volatile costs.

Aditya Birla Real Estate is part of the Aditya Birla Group and operates across real estate alongside pulp and paper manufacturing. The divested unit produces and sells paper and paperboard in India, including uncoated writing and printing grades, kraft paper, virgin multilayer board, tissue, cup stock and speciality applications.

For investors, the clearance signals antitrust risk in sector consolidation and underscores ITC’s strategy of using balance sheet strength to build defensible positions linked to consumption growth.
