Indexa Capital Group, S.A. ("Indexa Capital Group" or "The Company"), in accordance with the provisions of articles 227 and 228 of the consolidated text of the Law 6/2023, of March 17, on Market Securities and Investment Services, and its concordant provisions, as well as with the provisions of article 17 of the Regulation (EU) No 596/2014 on Market Abuse, and Circular 3/2020 of the BME Growth segment of BME MTF Equity modified by Circular 2/2022, hereby informs you of the following information:

‌Other relevant information - New private markets fund of funds

The Company announces that Bewater Asset Management S.G.E.I.C., S.A. ("Bewater"), its closed-end funds management wholly-owned subsidiary and Indexa Capital A.V., S.A. ("Indexa"), its portfolio management wholly-owned subsidiary, are collaborating to launch the fund of funds "Indexa mercados privados 2026, FCR" ("Indexa private markets 2026" or the " Fund").

The Fund is the first closed-end fund (a Spanish Fondo de Capital Riesgo, FCR), managed by Bewater, that is investing in private markets semi-liquid funds from some of the largest international private markets managers (Blackstone, Carlyle, EQT and Hamilton Lane), including private equity, private debt, infrastructure and secondaries, with global diversification and lower fees.

The underlying funds are semi-liquid private markets funds with quarterly liquidity windows. The Fund will start requesting the maximum available quarterly liquidity from the underlying funds starting after the year 5 (2031). The objective is to distribute the investment to the investors as soon as possible after year 5, up to year 10 (although hopefully before).

The Fund is offered directly by Bewater to investors willing to, amongst other requirements, invest more than 100 thousand euros (k€) and to professional investors, and will be offered by Indexa to some of its clients under a non-independent advisory contract.

Indexa will also make the Fund available to those clients who meet the suitability test, with a minimum investment of 10 k€ and a maximum of 10% of their total investment with Indexa. This implies that the investment will be made available to clients who have already invested more than 90 k€ with Indexa (7% of the clients, representing 50% of the volume managed by Indexa in Spain).

The Fund will be part of a segregated account at Bewater and will not be part of Indexa's discretionary portfolios. For Indexa's clients, the information will be made available on their Indexa's private area together with the information of their other investments.

Bewater charges a yearly management fee of 0.25% to 0.75%, depending on each client's investment (0.75% below 1 million euros, 0.50% from € 1 to € 5 million and 0.25% above € 5 million) and will not charge any success fee.

Indexa will not receive any remuneration, whether direct or indirect, for the advisory service, since the fees are already collected by its sister company, Bewater.

Total costs of the Fund, including the underlying funds costs, are estimated at 2.45% yearly costs plus 11.75% average success fees charged by the underlying funds managers.

The return forecast, based on the underlying funds managers' estimates and net of all costs, is an average yearly return of 11.2%, and a volatility forecast of 22.1%. These forecasts imply that, with a 95% confidence level, the estimated range of cumulative returns over 5 years would lie between

−42.9% and +296.4%. These figures are estimates based on hypothesis and do not constitute a guarantee of returns.

A new closed-end fund is expected to be launched and offered each year (Indexa private markets

2027, 2028, …).

This new offering will help Indexa's customers to further increase their investment diversification and forecasted profitability, including global private markets, at a cost much lower than the other options available to retail investors in Europe.

The Company estimates to reach € 17 million total investment in the Fund in 2026, and € 70 million in private markets funds in 2030.

La Sociedad anuncia que Bewater Asset Management S.G.E.I.C., S.A. ("Bewater"), su filial de gestión de fondos de inversión colectiva de tipo cerrado, íntegramente participada, e Indexa Capital A.V., S.A. ("Indexa"), su filial de gestión de carteras, también íntegramente participada, están colaborando para lanzar el fondo de fondos "Indexa mercados privados 2026, FCR" (el "Fondo").

El Fondo es el primer fondo de inversión de tipo cerrado (un fondo de Capital Riesgo español, FCR), gestionado por Bewater, que invierte en fondos semilíquidos de mercados privados de

algunas de las mayores gestoras internacionales de mercados privados (Blackstone, Carlyle, EQT y Hamilton Lane), incluyendo capital privado, deuda privada, infraestructuras y secundarios, con diversificación global y menores comisiones.

Los fondos subyacentes son fondos semilíquidos de mercados privados con ventanas de liquidez trimestrales. El Fondo comenzará a solicitar la máxima liquidez trimestral disponible a los fondos subyacentes después del año 5 (2031). El objetivo es distribuir la inversión a los inversores lo antes posible después del año 5, hasta el año 10 (aunque previsiblemente antes).

El Fondo es ofrecido por Bewater directamente a inversores dispuestos, entre otros requisitos, a invertir más de 100 mil euros (k€) y a inversores profesionales, y será ofrecido por Indexa a algunos de sus clientes bajo un contrato de asesoramiento no independiente.

Indexa pondrá el Fondo también a disposición de aquellos clientes que superen el test de idoneidad especialmente diseñado, con una inversión mínima de 10 k€ y un máximo del 10 % de su inversión total con Indexa. Esto implica que la inversión estará disponible para clientes que ya hayan invertido más de 90 k€ con Indexa (el 7 % de los clientes, que representan el 50 % del volumen gestionado por Indexa en España).

El Fondo formará parte de una cuenta segregada en Bewater y no formará parte de las carteras discrecionales de Indexa. Para los clientes de Indexa, la información estará disponible en su área privada de Indexa junto con la información del resto de sus inversiones.

Bewater cobra una comisión de gestión anual de entre el 0,25 % y el 0,75 %, en función de la inversión de cada cliente (0,75 % inferior a 1 millón de euros, 0,50 % entre 1 y 5 millones de euros y 0,25 % por encima de 5 millones de euros), y no cobrará comisión de éxito.

Indexa no percibirá ninguna remuneración, ni directa ni indirecta, por el servicio de asesoramiento, dado que las comisiones ya son percibidas por su empresa hermana, Bewater.

Los costes totales del Fondo, incluyendo los costes de los fondos subyacentes, se estiman en un 2,45 % de costes anuales más un 11,75 % de comisiones de éxito medias cobradas por las gestoras de los fondos subyacentes.

El pronóstico de rentabilidad, basado en las estimaciones de los gestores de los fondos subyacentes y neto de todos los costes, es de una rentabilidad media anual del 11,20 %, y un pronóstico de volatilidad del 22,1 %. Estos pronósticos implican que, con un nivel de confianza del 95 %, el rango estimado de rentabilidad acumulada a 5 años se situaría entre −42,9 % y +296,4 %. Estos datos son estimaciones basadas en hipótesis y no representan una garantía de rentabilidad.

Se espera lanzar y ofrecer un nuevo fondo de inversión de tipo cerrado cada año (Indexa mercados privados 2027, 2028, …).

Esta nueva oferta ayudará a los clientes de Indexa a aumentar aún más la diversificación y el pronóstico de rentabilidad de sus inversiones, incorporando mercados privados globales, a un coste muy inferior al de otras opciones disponibles para inversores minoristas en Europa.

La Compañía estima alcanzar una inversión total de 17 millones de euros en el Fondo en 2026 y de 70 millones de euros en fondos de mercados privados en 2030.
