Indexa Capital Group S.A. ("Indexa Capital Group" or "The Company"), in accordance with the provisions of article 228 of the consolidated text of the Law 6/2023, of March 17, on Market Securities and Investment Services, and its concordant provisions, as well as with the provisions of article 17 of the Regulation (EU) No 596/2014 on Market Abuse, and Circular 3/2020 of the BME Growth segment of BME MTF Equity modified by Circular 2/2022, hereby informs you of the following information:

‌Inside information - early termination of the shareholders' lock-up agreement

Indexa Capital Group hereby informs that the twelve shareholders who signed the "First shareholders' agreement" (the "shareholders' agreement"), executed on February 7, 2023, prior to Indexa Capital Group's admission to trading on the BME Growth segment (the "market" or

"BME Growth") on July 12, 2023, have agreed to terminate this agreement early, with effective date December 2, 2025, thereby bringing to an end the lock-up arrangement that had originally been agreed for three years, until July 12, 2026.

This shareholders' agreement, described in the Information Document for Admission (available in Spanish) of Indexa Capital Group on pages 126 and 127, aimed to inform the market of the commitment of shareholders holding more than 1% of its share capital at the time of admission not to sell (lock up) more than 1% or 2% of their shares each month for a period of three years (maximum 1% per month for shareholders holding more than 10% and maximum 2% per month for shareholders holding between 1% and 10% of the share capital).

In light of the Company's performance since its admission to BME Growth, and the fact that the first shareholders' agreement has fulfilled the purpose for which it was adopted and is no longer necessary under current circumstances, the signatory shareholders have considered appropriate to proceed with its early termination in order to allow greater flexibility in the transfer of Indexa

Capital Group shares and to promote greater market liquidity, for the benefit of the Company and its shareholder base.

Regarding the liquidity of Indexa Capital Group shares: at this time, around €800 thousand has been traded in 2025, equivalent to 5.42% of the current free-float value (around €14.75 million). Some indices, such as the MSCI Europe Micro Cap Index for example, require a 12-month ATVR (annual traded value ratio) of at least 5%. Keep on increasing the Company's ATVR above 5% will help it enter this index, and also other indexes such as the IBEX Growth 15.

Greater liquidity will also likely help attract more investors to the Company's shareholder base, which in turn would further increase its liquidity and facilitate the Company's future access to BME's Main Market (Continuous Market).

Indexa Capital Group (en adelante también la "Sociedad") informa que los doce accionistas firmantes del "Primer pacto de accionistas" (el "acuerdo de accionistas") firmado el pasado 7 de febrero de 2023, previo a la incorporación de Indexa Capital Group al segmento de negociación BME Growth (el "mercado" o "BME Growth") el pasado 12 de julio de 2023, han acordado resolver de forma anticipada este acuerdo con efecto hoy, 2 de diciembre de 2025, poniendo así fin al acuerdo de no venta que estaba pactado inicialmente para tres años, hasta el 12 de julio de 2026.

Este acuerdo de accionistas, detallado en el Documento informativo de incorporación al mercado (DIIM) de Indexa Capital Group, en las páginas 126 y 127, tenía como objetivo informar al mercado del compromiso de los accionistas con más del 1 % de su capital social en el momento de la admisión al mercado, de no vender (lock up) más del 1 % o 2 % de sus acciones cada mes hasta pasados tres años (máximo 1 % mensual para los accionistas con más del 10 % y máximo 2 % mensual para los accionistas con una participación entre el 1 % y el 10 % del capital social).

Atendiendo a la evolución de la Sociedad desde su incorporación a BME Growth, y a que el primer pacto de accionistas ha cumplido la función para la que fue adoptado y ha dejado de resultar necesario en las circunstancias actuales, los accionistas firmantes han considerado adecuado proceder a su resolución anticipada con el fin de permitir una mayor flexibilidad en la transmisión de las acciones de Indexa Capital Group y de favorecer una mayor liquidez en el mercado, en beneficio de la Sociedad y de su base accionarial.

Sobre la liquidez de la acción de Indexa Capital Group: en este momento se han negociado en torno a 800 mil euros en 2025, equivalente a un 5,42 % del valor del free float actual (en torno a

14,75 millones de euros). Algunos índices, como el MSCI Europe Micro Cap Index por ejemplo, exigen un ATVR a 12 meses (annual traded value ratio, ratio del valor anual negociado) de al menos un 5 %. Seguir subiendo el ATVR de la Sociedad por encima del 5 % le ayudará a entrar en este índice, y también en otros índices como el IBEX Growth 15.

Una mayor liquidez probablemente contribuirá también a atraer más inversores en el accionariado de la compañía, lo que a su vez contribuiría a aumentar más su liquidez y facilitaría el futuro acceso de la compañía al Mercado Principal (Mercado Continuo) de BME.
