CVGS Announces the Resignation and Appointment of Certain Officers and Directors
LAS VEGAS, NV (January 11, 2006) CyberVegas.com (Symbol: CVGS) announces the resignation and appointment of certain officers and directors.
Directors: On December 16, 2005, Ms. Allison Greiner resigned as a member of our board of directors. There was no known disagreement with Ms Greiner on any matter relating to our operations, policies or practices. On the same day, our board of directors appointed Mr. Brian Sims and Ms. Juliana Lam to serve as members of the board of directors to serve until the next annual meeting of the shareholders or until removed by other action as allowed by the corporate bylaws.
Mr. Brian E. Sims: For the last ten years, Mr. Brian E. Sims has been employed with the Council of Marine Carriers, located at 200-1575 West Georgia St., Vancouver, B.C. V6G 2V3. His current holds the position of Labour Relations Coordinator. His responsibilities include contract negotiation and administration. He sits as employer Trustee on two multi-employer-union pension and two benefit plans. Council represents 80% of the towboat industry in Western Canada.
Ms. Lam: from 1996 to the present, Ms. Lam has been an Assistant General Manager for Austin Marmon Ltd. where she has managed and trained personnel working in customer service and sales. Her duties also include monitoring manufacturing facilities. Ms. Lam graduated in 1996 from the University of Toronto with a Bachelor of Arts in Economics. She speaks English, Cantonese and Mandarin.
Officers: On December 16, 2005, Ms. Allison Greiner resigned as President and CEO of our company. On the same day, our board of directors appointed Mr. Randy Dixon as President and Ms. Talia Dixon as Secretary and Treasurer of our company.
Mr. Dixon: For the past 22 years, Mr. Dixon has served as CEO and President of Dixon Pumps, Inc. and for the past 10 years he has been CEO and President of R&D Manufacturing Inc. Dixon Pumps is a pump manufacturing company that manufactures petroleum transfer pumps meters, nozzles industrial brass hose fittings and related products for the oil industry. R & D Manufacturing manufactures electronic test and switching equipment for the railroad industry.
Ms. Talia Dixon: From 2005 to the present, Ms. Dixon has been a bookkeeper for R and D Manufacturing in Billings, Montana. Previously, she worked as an Assistant Manager from 2002 to 2005 for American Eagle Outfitters in Tampa, Florida and as an Administrative Assistant from 1999 to 2002 for R and D Manufacturing in Billings, Montana. Her education includes study in Accounting & Business Management at Oakland Community College from 2001 to 2002 and Montana State University in from 1999 to 2001.
Legal/Disciplinary History
During the past five years, none of the following occurred with respect to the foregoing persons: (1) any conviction in a criminal proceeding or being subject to a pending criminal proceeding (excluding traffic violations and other minor offenses); (2) being subject to any order, judgment or decree, not subsequently reversed, suspended or vacated, of any court of competent jurisdiction, permanently or temporarily enjoining, barring, suspending or otherwise limiting his or her involvement in any type of business, securities or banking activities; (3) being found by a court of competent jurisdiction (in a civil action), the SEC or the Commodities Futures Trading Commission to have violated a federal or state securities or commodities law, and the judgment has not been reversed, suspended or vacated; and (4) being subject to any order by a self-regulatory organization that permanently or temporarily barred, suspended or otherwise limited such person's involvement in any type of business or securities activities.

The following information indicates, as of the date of this release, certain information with respect to the beneficial ownership of the Company's Common Stock by each security holder known to be the beneficial owner of more than 5% of the Company's common stock and by each of the Company's current directors and certain executive officers. Each person has sole voting and investment power with respect to the shares of Common Stock except as otherwise indicated. Beneficial ownership consists of a direct interest in the shares of common stock, except as otherwise indicated.
1. Sam Zimmerly owns 22,500,000 shares of Common Stock, which amounts to 45%.
2. Dr. David Lester owns 10,000,000 shares of Common Stock, which amounts to 20%.
3. Karl Achs owns 5,000,000 shares of Common Stock, which amounts to 10%.
Directors and Officers
1. Randy Dixon owns 2,000 shares of Common Stock, which amounts to less than 1%.
2. Brian Sims owns 5,000,000 shares of Common Stock, which amounts to 10%.
3. Talia Dixon owns Nil shares of Common Stock, which amounts to 0%.
4. Juliana Lam owns Nil shares of Common Stock, which amounts to 0%.
