To consider and approve the appointment of Mr. Liu Feixiang as an executive Director of the Company.

Reference is made to the announcement dated 28 July 2017 of the Company.
The board (the "Board") of directors ("Directors") of the Company announces that on 28 July 2017, Mr. Liu Feixiang ("Mr. Liu") has been nominated as an executive Director of the first session of the Board of the Company. The proposed appointment of Mr. Liu as an executive Director is conditional upon the approval at the extraordinary general meeting of the Company, with a term of office from the date on which such proposed appointment is approved at the extraordinary general meeting of the Company to the date of expiration of the term of the first session of the Board.
The biographical details of Mr. Liu are as follows:
Mr. Liu Feixiang (劉飛香), aged 54, is currently the secretary of the communist party committee, chairman, professor level senior engineer of China Railway Construction Heavy Industry Co., Ltd., and has 34 years of experience in research, development and manufacturing of high-end equipment in China. From August 1983 to June 1986, he worked as a trainee at the transportation workshop and an assistant engineer at transportation section of Zhuzhou Bridge Factory (株洲橋樑
廠) under the Ministry of Railways. From June 1986 to February 1996, he served as assistant engineer and engineer at transportation section, deputy director, director and engineer of fastener workshop of Zhuzhou Bridge Factory of China Railway Materials Commercial Corp.* (中國鐵路 物資總公司) under the Ministry of Railways. From February 1996 to May 1997, he served as deputy general manager of Zhuzhou Bridge Factory Nanjian Corporation* (株洲橋樑廠南箭總公 司) and manager and engineer of rail welding engineering company* (軌道焊接工程公司) at the same time. From May 1997 to July 2000, he served as deputy factory manager, engineer and senior engineer of Zhuzhou Bridge Factory under the Ministry of Railways. From July 2000 to November 2001, he served as factory manager, deputy secretary of the communist party committee, senior engineer of Zhuzhou Bridge Factory of China Railway Construction Corporation Factory Bureau. From November 2001 to March 2003, he served as factory manager, deputy secretary of the communist party committee and senior engineer of Zhuzhou Bridge Factory of China Railway 11th Bureau Group Co., Ltd. From March 2003 to April 2005, he served as chairman, general manager, deputy secretary of the communist party committee, equity representative and senior engineer of China Railway Zhuzhou Bridge Company* (中鐵株洲橋樑公司) under China Railway 11th Bureau Group Co., Ltd. From April 2005 to May 2007, he served as deputy general manager, senior engineer and professor level senior engineer of China Railway 11th Bureau Group Co., Ltd. From May 2007 to July 2011, he was appointed as director, chairman, general manager, deputy secretary of the communist party committee and professor level senior engineer of China Railway Track System Group Co., Ltd. From July 2011 to January 2015, he served as chairman, general manager, deputy secretary of the party committee and professor level senior engineer of China Railway Construction Heavy Industry Co., Ltd. From January 2015 to July 2017, he served as secretary of the communist party committee, chairman, professor level senior engineer of China Railway Construction Heavy Industry Co., Ltd. He graduated from the department of mechanics of Southwest Jiaotong University with a bachelor's degree of engineering in August 1983, majoring in engineering machinery. The remuneration of Mr. Liu will be determined in accordance with the remuneration policies developed by the Company for executive Director.
As at the date of this announcement, save as disclosed above, Mr. Liu confirms for himself that: (i) during last three years, he has not held any directorships in any public companies, the securities of which are listed on any securities market in Hong Kong and/or overseas, nor held any other major appointment or professional qualification; (ii) he does not hold any other position with the Company or its subsidiaries; (iii) he does not have any interests in the shares or securities of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) (the "SFO"); and (iv) he does not have any other relationship with other current Directors, senior management or substantial or controlling shareholders of the Company.
There is no other matter in relation to the proposed appointment of Mr. Liu as an executive Director that needs to be brought to the attention of the shareholders of the Company, nor other information in relation to the proposed appointment of Mr. Liu as an executive Director that needs to be disclosed pursuant to the requirements of Rule 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").

Mr. Zhao Hui (趙暉), aged 44, is currently holding various positions as a member of the standing committee of the communist party committee, director and deputy general manager of China Railway Construction Heavy Industry Co., Ltd. and secretary of the communist party committee, member of the communist party committee, senior engineer of CRCC High-Tech Equipment Corporation Limited, with 22 years of experience in research, development and manufacturing of high-end equipment in China. From July 1995 to July 2000, he worked in Zhuzhou Bridge Factory under the Ministry of Railways as a trainee at power house, assistant engineer at equipment department, assistant member of league committee, league officer, assistant engineer at bridge group* (橋工集團). From July 2000 to November 2001, he served as assistant engineer, salesman of sales office and engineer at Zhuzhou Bridge Factory of China Railway Construction Corporation Factory Bureau, and engineer of Yuehai branch. From November 2001 to September 2005, he served as salesman of sales office, director of sales office, head of general marketing department (deputy level), deputy chief of marketing department, head of marketing department, engineer of Zhuzhou Bridge Factory of China Railway 11th Bureau Group Co., Ltd.
