MainStreetChamber Holdings Signs LOI to Acquire BigTicketBroker along with Three Other Strategic Portfolio Asset Groups

Proposed transaction adds BigTicketBroker, Relationship Generation, Chamber Business Centers and Final Mile Laundry Service assets to MSCH's growing Main Street business ecosystem

LAS VEGAS, August 31, 2026 — MainStreetChamber Holdings, Inc. (OTC: MSCH) ("MSCH" or the "Company") announced today that it has executed a non-binding Letter of Intent with Cornerstone Peak Holdings, LLC ("CPH") to acquire the transferable assets, intellectual property, domain names and related digital assets associated with four business portfolios: Relationship Generation, LLC; BigTicketBroker; Chamber Business Centers; and Final Mile Laundry Service.

The financial terms of the proposed transaction were not disclosed. The parties intend to complete due diligence and negotiate definitive agreements. The individual asset transfers may close simultaneously or in one or more closings, and MSCH would not assume liabilities unless expressly accepted in a definitive agreement.

Four Complementary Platforms

BigTicketBroker (BTB) — A developing nationwide broker and licensing platform designed to connect consumers and entrepreneurs with high-ticket products and business opportunities while reducing the costs associated with traditional retail overhead, staffing and advertising. Management reports that more than 1,500 brokers had registered as of August 31, 2026. BTB is planning its formal launch for January 26-28, 2027 in Las Vegas, during the Winter Las Vegas Market window at World Market Center Las Vegas. BTB is not represented as affiliated with or endorsed by Las Vegas Market or its operators.

Relationship Generation, LLC — A portfolio of relationship-marketing assets, intellectual property and domains intended to support referral-driven customer acquisition, community development and business-to-business connectivity across the MSCH ecosystem.

Chamber Business Centers — A business-center concept and related asset portfolio designed to provide local entrepreneurs and MSCH-affiliated businesses with community presence, shared resources and potential sales, demonstration and distribution support.

Final Mile Laundry Service — A service-platform asset portfolio focused on pickup, delivery and final-mile coordination for wash-dry-fold laundry and related recurring consumer services, extending MSCH's logistics capabilities into an additional everyday-service category.

A Vertically Connected Sales and Fulfillment Strategy

The proposed acquisition is intended to strengthen the integrated strategy MSCH says it has pursued from the beginning: bringing more than 100 Main Street businesses and service concepts under one public-company umbrella, with shared sales channels, customer relationships, technology and fulfillment infrastructure.

At the center of that strategy is BigTicketBroker. MSCH expects BTB's expanding independent broker network to market products from existing MSCH portfolio companies, including KozyFurniture, LLC, DiamondBroker USA and Perfect Dreamer. MSCH also plans for another portfolio company, Final Mile Technologies, to coordinate shipping, delivery and installation where applicable. This structure is designed to create a connected path from customer acquisition and product selection through fulfillment and installation.

Beyond furniture, mattresses and sleep products, diamonds and jewelry, BTB plans to broaden its offering to include additional products and services that can be sold efficiently without the cost structure of conventional retail stores. Management believes that reducing traditional real-estate, employee and mass-advertising expenses can support greater value for customers while creating additional sales opportunities for brokers and MSCH portfolio companies.

Public-Market Progress and Long-Term Ambition

MSCH currently trades on the OTCID market under the symbol MSCH. The Company views its OTCID status as an important step in its public-market development and intends to pursue a future Nasdaq uplisting as its operations, governance, financial position and market qualifications develop. Any uplisting would be subject to satisfying all applicable Nasdaq listing standards, regulatory review and other conditions, and no assurance can be given that an uplisting will occur or as to its timing.

The proposed acquisition remains subject to due diligence, negotiation and execution of definitive agreements, corporate approvals, transfer requirements and other customary closing conditions. The LOI provides that the parties will use commercially reasonable efforts to complete the contemplated transactions within 40 days of execution, unless they mutually agree to another date. Financial terms were not disclosed.
