TORONTO, July 7, 2011 /CNW/ - Augen Capital Corp. ("Augen" or "the Company") (TSX-V: AUG) is pleased to announce the results of its annual and special meeting of shareholders held earlier today. At the meeting, the Augen shareholders:
- fixed the number of directors to be elected at five and empowered the directors to determine the number of directors of the Company;
- re-elected Norman E. Brewster, Alan Cruickshank, Peter M. Miller, G. Michael Newman and Conor S. Bill to the Board of Directors;
- re-appointed Collins Barrow Toronto LLP, Chartered Accountants as auditor of the Company and authorized the Board of Directors to fix the auditor's remuneration; and
- re-approved the Company's stock option plan.
Holders of 45,816,978 shares (representing approximately 59% of the outstanding shares of the Company) were present in person or by proxy and voted at the meeting. Over 99% of the votes cast at the meeting were voted in favour of each item of business brought before the meeting.
Augen would also like to announce that following the annual and special meeting of shareholders, the following individuals were re-appointed as officers of the Company:
- Norman E. Brewster - Chairman
- Alan Cruickshank - President and Chief Executive Officer
- Manish Z. Kshatriya - Chief Financial Officer
