TORONTO, March 14 /CNW/ - Augen Capital Corp. ("Augen" or "the Company") (TSXV: AUG) is pleased to announce a non-brokered private placement of up to $1,000,000 through the sale of 12,500,000 Units at $0.08 per Unit, subject to regulatory approval.
Each Unit will be comprised of one (1) common share ("Share") of the Company and one (1) Share purchase warrant ("Warrant"). Each Warrant will entitle the holder to acquire an additional Share for a period of two years from the closing date, exercisable at a price of $0.15 per Share in year one, and at a price of $0.25 per Share in year two, subject to the right of the Company to accelerate the expiry date in certain circumstances based on the trading price of the Shares.
It is anticipated that certain insiders of the Company will be participating in the private placement. The proceeds of the financing will be used to fund general working capital of the Company.
All securities issued in conjunction with the offering will be subject to a hold period, which expires four months after closing. Finder's fees may be paid in accordance with regulatory requirements.
