Ascopiave S p A : has just signed the purchase agreement concerning Società Impianti Metano S.r.l.

Ascopiave S.p.A. communicates as of today, his signing of a preliminary purchase agreement concerning the 100% acquisition by Ascopiave of the capital stock belonging to Società Impianti Metano S.r.l., a gas distribution company wholly owned by Sime Partecipazioni S.p.A.

Società Impianti Metano S.r.l. currently manages 113,000 users in 40 municipalities in Northern Italy (namely in the Lombardy, Emilia-Romagna and Piedmont Regions), through a network spanning 1,683 km and featuring a RAB of 60 million Euros for 2024. During the same year, the company achieved an EBITDA of 5.4 million Euros.

The agreed base price for the aforementioned transaction amounts to 46 million Euros, a figure expressing the company's valuation as of 31 December 2024 (based on its equity value) and which may be subject to adjustment after closing, as is usual

The deal shall be subject to the condition precedent of the successful completion of the so-called Golden Power

procedure.

Ascopiave is going to finance the acquisition through its available funds or bank credit lines first and foremost.

The Chairman, CEO and General Director of Ascopiave, Mr. Nicola Cecconato, offered his comments on the matter: " By means of this transaction, Ascopiave intends to accelerate its growth within the gas distribution sector, while strengthening its position as the second largest Italian operator in the field."

The Ascopiave Group is one of Italy's leading operators in natural gas distribution, as it manages such a service in 454 Municipalities in Northern Italy through a network of more than 20,000 km serving approximately 1,360,000 users.

The Group is also active in the sectors of renewable energies and integrated water services, while holding several minority stakes in some companies that operate in ICT (Herabit S.p.A.) and in public services (Acinque S.p.A.).

Concerning renewable energies as a sector, Ascopiave currently manages a total of 29 facilities between hydroelectric and wind power plants, with an overall nominal capacity of 84.1 MW.

Since December 12, 2006, Ascopiave has been listed on the Euronext Star Milan segment of the Italian Stock Exchange.
