Ascopiave S p A : has just completed the purchase transaction concerning Società Impianti Metano S.r.l.

Following the press release issued on 26 November 2025, Ascopiave S.p.A. communicates, as of today, its signing of the closing documents concerning the 100% acquisition by Ascopiave of the capital stock belonging to Società Impianti Metano S.r.l., a gas distribution company wholly owned by Sime Partecipazioni S.p.A. The aforementioned deal shall be in force from today onwards.

Società Impianti Metano S.r.l. currently manages 113,000 users in 40 municipalities in Northern Italy (namely in the Lombardy, Emilia-Romagna and Piedmont Regions), through a network spanning 1,683 km. The company achieved an EBITDA of 5.4 million Euros in 2024.

The transaction was concluded under the condition precedent of the successful completion of the so-called Golden Power procedure.

The agreed base price for said transaction amounts to 46 million Euros, a figure expressing the purchased company's valuation as of 31 December 2024 (based on its equity value) and which may be subject to adjustments after closing, as is usual.

Ascopiave financed the acquisition through its available funds and bank credit lines first and foremost.

The Chairman, CEO and General Director of Ascopiave, Mr. Nicola Cecconato, offered his comments on the matter: "While 2025 was a challenging year for us, but it also brought us great satisfaction. We acquired networks over 7,000 km wide, and welcomed around 600,000 new users, bringing our total infrastructure management to over 21,700 km and reaching around 1.5 million users. Through such an operation, we are able to close our year with a significant growth, consolidating our position as the second largest player in the gas distribution sector in Italy. Concerning next year, we are ready to make the most of any and all new opportunities that may arise, while innovating our services and constantly investing to improve our networks. This is just the first step of a journey that will see us play a leading role in the energy transition as a whole and become a key player within the distribution sector, a very strategic one, as well".

The Ascopiave Group is one of Italy's leading operators in natural gas distribution, as it manages such a service in 494 Municipalities in Northern Italy through a network of more than 21,700 km serving approximately 1,500,000 users.

The Group is also active in the sectors of renewable energies and integrated water services, while holding several minority stakes in some companies that operate in ICT (Herabit S.p.A.) and in public services (Acinque S.p.A.).

Concerning renewable energies as a sector, Ascopiave currently manages a total of 29 facilities between hydroelectric and wind power plants, with an overall nominal capacity of 84.1 MW.

Since December 12, 2006, Ascopiave has been listed on the Euronext Star Milan segment of the Italian Stock Exchange.
