Advanced Powerline Technologies, Inc. (APT), reports that its annual shareholders meeting for 2006 was held Saturday, August 5, 2006 in Woodward, Oklahoma. Shareholders were welcomed to APT's facility in Woodward by Interim President Timothy Pace and other officers and directors, where they toured the facility and asked questions of the officers about the company's plans for the facility and operations there. The meeting was then adjourned to a more comfortable location, and shareholders heard a presentation from Mr. Pace regarding the company's plans and direction as well as its current status. Mr. Damon Maughan and Mr. Mike Snyder, both of whom had been nominated as independent directors for election by the shareholders, were present, and each of them introduced himself to the shareholders and described his background and the skills and talents he will to bring to APT. Mr. Maughan has a background in finance, while Mr. Snyder has a background in tax accounting and is a qualified CPA. The shareholders elected both Mr. Maughan and Mr. Snyder to the company's Board of Directors. The shareholders then considered and approved a motion to allow the directors and officers to alter the company's By-Laws and Corporate Governance to comply with the requirements of the Sarbanes-Oxley Act if needed. Finally, as a one-time gesture of appreciation and good-will, the company presented a 27 inch APT High Definition Monitor to each shareholder present. The company also announced that Mr. Brian McCool of Billings, Missouri was randomly selected from among all entries as the winner of the 32 inch APT Monitor with High Definition Tuner (HDTV) and PLC InsideTM, awarded as part of APT's Consumer Awareness Campaign. The company wishes to congratulate Mr. McCool and to thank all those who entered.
Mr. Pace stated, "It was great to meet more of the shareholders face-to-face and to have the opportunity to talk with them and answer their questions. After all, the shareholders are the ones we are really working for. We appreciate them taking the time to attend our annual meeting, and we are pleased with the actions they have taken. We look forward to working with new directors Mike Snyder and Damon Maughan, and we believe their contributions will be important to our future success. We are also pleased that the shareholders voted to bring the company's By-Laws and Corporate Governance into compliance with Sarbanes-Oxley if needed. This gives us an important tool for achieving our goal of moving to the Bulletin Boards, where Sarbanes-Oxley compliance is a requirement. We believe our company has great potential, and we look forward to realizing that potential and building a great company for our shareholders."
