20 May 2026 Tesco PLC (the Company) WITHDRAWAL OF AGM RESOLUTION Following the announcement by the Company on the 6 May 2026 of Thierry Garnier's resignation from the Board of the Company with immediate effect, the Company confirms that the resolution to re-elect Thierry Garnier as a Director of the Company (Resolution 7 of the Notice of Annual General Meeting 2026 (the Notice)) is withdrawn. The withdrawal of Resolution 7 does not affect the validity of the Notice, the proxy form or any votes already submitted in respect of the remaining resolutions in the Notice. Any votes already cast in relation to Resolution 7 are of no effect. The numbering of all other resolutions in the Notice remain unchanged.
