EXTRAORDINARY SHAREHOLDERS' MEETING OF VALSOIA S.P.A.

Bologna 11 November 2024 - - On today's date the Extraordinary Shareholders' Meeting of Valsoia S.p.A. (EXM: VLS) met on first call under the chairmanship of Mr Lorenzo Sassoli de Bianchi

The Event, in application of the extraordinary measures to contain the "Covid-19" epidemic pursuant to art. 106 of Legislative Decree no. 18 of 17 March 2020 (so-called "Cura Italia" Decree) converted with Law no. 27 of 24 April 2020 and whose application was lastly extended with law n. 21 of 5 March 2024, was held exclusively by means of telecommunications and exclusively making use of the figure of the appointed Representative pursuant to art. 135- undecies of the TUF

The Shareholders' Meeting, in extraordinary session, approved the following resolutions:

• Amendment to art. 10 of the Articles of Association.

AMENDMENT TO ART. 10 OF THE ARTICLES OF ASSOCIATION

The Shareholders' Meeting approved by majority Amendment to art. 10 of the Articles of Association.

Following the present resolution, Valsoia Board of Directors will be allowed to provide, for each meeting, giving information in the notice of convening, that all the entitle persons attend the meeting and exercise the voting rights exclusively by delegation (or sub-delegation) to the Designated Representative as provided for in the new art.135-undiecies.1 TUF./
