Jarvis Securities: Update re Financial Results

· Issued by Jarvis Securities plc via RNS

Summary by 6ix AI

Jarvis Securities plc, whose shares trade on AIM, no longer receives income and is now an AIM Rule 15 cash shell (a listed company with no operating business). Within 6 months of becoming a cash shell, it is required to make a reverse takeover or seek to become an investing company, or its shares will be suspended from trading on AIM.

Key details

  • As at September 30, 2026, Jarvis had cash of approximately £2.5 million (unaudited). The board does not expect the Special Administration of Jarvis Investment Management Limited to crystalise any value for the Company.
  • Jarvis said it became a cash shell in an announcement dated October 15, 2026. A reverse takeover means making an acquisition or acquisitions under AIM Rule 14, including seeking re-admission to AIM. Becoming an investing company under AIM Rule 8 requires, among other things, raising at least £6 million and publishing an admission document.
  • If no such transaction is completed within a further six months after the suspension, Jarvis's admission to trading on AIM will be cancelled.
  • The directors had indicated they intend to seek a cancellation of the Company's AIM admission under AIM Rule 41 shortly, expecting any remaining distributable reserves to be returned to shareholders. They will consider any credible, potential transactions introduced to the Company in the short term before finalising that decision.
  • Following its change of accounting reference date to June 30, Jarvis will release audited results for the 12 months to June 30, 2026 on or before December 31, 2026.

What’s still pending

  • There can be no guarantee that a qualifying transaction will occur.
  • The proposed cancellation or a qualifying transaction would be subject to, among other things, shareholder approval.
  • The directors have not finalised their decision on the proposed cancellation.
  • Audited results are to be released on or before December 31, 2026.

Update re financial results

Following the change of accounting reference date of the Company to 30 June which was announced on 27 June 2025, Jarvis will release its audited results for the 12 months to 30 June 2026 on or before 31 December 2026 in accordance with the AIM Rules.

As at 30 September 2026, the Company had cash of approximately £2.5 million (unaudited). The Company no longer receives income and the board does not expect the Special Administration of Jarvis Investment Management Limited to crystalise any value for the Company.

Accordingly, now that the Company is an AIM Rule 15 cash shell (see announcement dated 15 October 2026), Jarvis is required to make an acquisition or acquisitions that constitutes a reverse takeover under AIM Rule 14 (including seeking re-admission under the AIM Rules for Companies) , or seek to become an investing company pursuant to AIM Rule 8 which requires, inter alia, the raising of at least £6 million and publication of an admission document (a “Relevant Transaction”), within 6 months of becoming an AIM Rule 15 cash shell otherwise Jarvis’s ordinary shares will be suspended from trading on AIM.  Thereafter, if a Relevant Transaction is not completed within a further six month period the Company’s admission to trading on AIM will be cancelled (the “Regulatory Cancellation”).

The Directors had indicated their intention to seek a cancellation of the Company's admission to trading on AIM pursuant to AIM Rule 41 shortly (the "Proposed Cancellation") with the expectation that any distributable reserves remaining in the Company at the time of the Proposed Cancellation would then be returned to shareholders. However, the Directors confirm they will consider any credible, potential Relevant Transactions introduced to the Company in the short term before finalising that decision. There can be no guarantee that a Relevant Transaction will occur.

The Proposed Cancellation or a Relevant Transaction (but not the Regulatory Cancellation) would be subject to, inter alia, shareholder approval, .
