United American Healthcare Corporation Announces Investor and Affiliate Debt Conversions

(OTC Pink Sheets: UAHC) United American Healthcare Corporation (the “Company”) announced today that on July 23, 2015, the Company’s Board of Directors approved elections to convert debt dated July 23, 2105 made by St. George Investments, LLC, an Illinois limited liability company (“St. George), and The Dove Foundation, an Illinois trust (“Dove”).  St. George is an affiliate of Mr. Fife.

St. George elected to convert $138,336 of the amount of the Secured Convertible Promissory Note issued by the Company on August 14, 2012, into 32,000,000 shares of Common Stock, and Dove’s elected to convert $21,615 of the amount of the Secured Convertible Promissory Note issued by the Company on October 10, 2012, into 5,000,000 shares of Common Stock.  After applying the July 23, 2015 debt conversions to the St. George and Dove note balances, the outstanding balance of St. George’s note is $254,631.98, and the outstanding balance of Dove’s note is $29,631.85.

As a result of the conversions, St. George now owns 53,413,745 shares of Common Stock, and Dove now owns 9,478,647 shares of Common Stock.  CVP owns 1,068,559 shares of Common Stock.  After the conversions, St. George, CVP, and Dove together own approximately 90.87% of the 70,384,636 outstanding shares of Common Stock.  Other Company insiders own in the aggregate approximately 1.68% of the outstanding shares of Common Stock.  The Company is authorized to issue 150,000,000 shares of Common Stock.  The Company is authorized to issue 5,000,000 shares of Preferred Stock, none of which are outstanding.
