1.On November 21, 2025, the Company announced the termination of the

Superficies Agreement for Municipal-Owned Land at Land Lot No. 88,

Ruanqiao Section, Beitou District, Taipei City.

2.Pursuant to Article 2.5.9.1 of the aforementioned agreement, if

the agreement is terminated prior to its expiration, any contracts

the Company has entered into with third parties to perform the

aforementioned agreement shall also be terminated simultaneously.

Our company's contracts with relevant commissioned contractors

also contain identical provisions. Following the mutual agreement

between our company and the Taipei City Government to terminate the

aforementioned Land Surface Rights Contract, we have successively

proceeded with the settlement of affairs with our commissioned

contractors including Kien Kuo Engineering Co., Ltd. (for

miscellaneous permit works (diaphragm walls)), as well as planning,

design, and supervision firms a process which continues to date.

3.Pursuant to the aforementioned termination agreement with the

Taipei City Government, the Taipei City Government shall reimburse

the Company for the relevant costs incurred in performing the

"Superficies Agreement for Municipal-Owned Land at Land Lot No.

88, Ruan-Qiao Section, Beitou District, Taipei City" including

amounts the Company is required to pay to the relevant contractors.

The Company has terminated contracts with the relevant contractors

and finalized settlement matters; this has no material impact on

the Company's financial status or business operations.
