Transfer of Treasury Shares

Pembroke, Bermuda - 23 May 2023 Conduit Holdings Limited ("CHL") (Ticker:CRE) Transfer of Treasury Shares   Conduit Holdings Limited announces that on 18 May 2023, 757,823 Common Shares of US$0.01 each ("Common Shares") were transferred from its treasury account into the Company's Employee Benefit Trust (EBT). Following the transfer, CHL will have a total of 165,239,997 Common Shares, and therefore voting rights, in issue, of which none are held in treasury. CHL's Employee Benefit Trust currently holds as beneficiary 4,847,860 Shares and, unless specifically directed by CHL, shall abstain from exercising its voting rights at any general meeting of the Company. If CHL directs that the EBT may vote, CHL cannot direct the manner in which the EBT exercises its vote.
