ANNOUNCEMENT OF FINALIZATION OF THE SPECIAL AUTHORIZATION GRANTED FOR TRANSACTION WITH A RELATED PARTY PURSUANT TO Article 101, par. 2 of Greek Law 4548/2018
The Board of Directors of "TRADE ESTATES REAL ESTATE INVESTMENT COMPANY" with General Commercial Registry Number 160110060000, (hereinafter the "Company") hereby announces in accordance with article 101 of L. 4548/2018 that, pursuant to its decision of 04.11.2024 which was registered in the General Commercial Registry under no. 4557243/4-11-2024 ("Second Announcement") that:
The finalization of the special authorisation granted (pursuant to articles 99-101 of Law No. 4548/2018, as is in force) by the resolution of the Board of Directors dated 04.11.2024 for the establishment of a transaction with a related party and specifically in order to cover an unsecured Bond Loan up to €9 mn to be issued by the 44.69% subsidiary company "EVITENCO DEVELOPMENT AND REAL ESTATE EXPLOITATION SOCIETE ANONYME", given that the ten (10) day period from the publication of the GEMI Publication No. 3418689/ 21.10.2024 on granting of special permission elapsed, i.e. without the Board of Directors receiving within the above period of time a request from shareholders representing at least 1/20 of the share capital of the company, to convene the General Meeting in order to decide on the issue of granting special permission, in accordance with article 100 paragraph 3 of Law 4548/2018.
